About The Position

A highly respected national law firm is seeking an ESOP Transactions & Services Associate Attorney to join its Chicago office. This opportunity is ideal for an attorney interested in representing companies, trustees, lenders, and ESOP-owned businesses in sophisticated employee stock ownership plan transactions and related corporate matters.

Requirements

  • 3+ years of experience with ESOP transactions, employee benefits, executive compensation, tax, corporate, or finance matters gained at a sophisticated law firm
  • Experience advising clients on Employee Stock Ownership Plans (ESOPs) and related transactional matters
  • Experience with ESOP formations, acquisitions, recapitalizations, financing transactions, and ownership transitions
  • Experience drafting and negotiating transactional documents, corporate agreements, financing documents, and related legal documentation
  • Strong drafting, negotiation, analytical, organizational, and communication skills
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Illinois bar admission required or ability to become admitted

Nice To Haves

  • Experience advising clients regarding ERISA, Internal Revenue Code, corporate governance, and fiduciary matters is preferred
  • Experience representing companies, trustees, lenders, or shareholders in sophisticated transactions is a plus

Responsibilities

  • Representing companies, trustees, lenders, and ESOP-owned businesses in sophisticated employee stock ownership plan transactions and related corporate matters.
  • Advising clients on Employee Stock Ownership Plans (ESOPs) and related transactional matters.
  • Handling ESOP formations, acquisitions, recapitalizations, financing transactions, and ownership transitions.
  • Drafting and negotiating transactional documents, corporate agreements, financing documents, and related legal documentation.
  • Advising clients regarding ERISA, Internal Revenue Code, corporate governance, and fiduciary matters.
  • Representing companies, trustees, lenders, or shareholders in sophisticated transactions.
  • Independently managing sophisticated transactions while maintaining significant client interaction.
