About The Position

The Election Judge plays a critical role in supervising the election of the Board of Directors during the corporation's annual shareholder meeting. This individual ensures that the election process adheres to the company's bylaws, state corporate laws, and any other relevant regulations, thereby upholding the principles of fair and transparent corporate governance.

Requirements

• Strong understanding of corporate governance, shareholder rights, and election procedures.
• Familiarity with the corporation's bylaws and relevant state corporate laws.
• Demonstrated impartiality and integrity in overseeing election processes.
• Excellent organizational and communication skills.
• Ability to handle sensitive information with confidentiality.

• Prior experience in corporate elections or similar roles is preferred.

Responsibilities

• Review and understand the corporation's bylaws and relevant state laws of shareholder meetings and elections.
• Confirm the presence of a quorum as defined by the corporation's bylaws.
• Supervise the registration and credentialing of shareholders and proxies.
• Oversee the distribution, collection, and security of ballots.
• Monitor the voting process to ensure it is conducted fairly and without undue influence.
• Address and resolve any disputes or challenges related to voter eligibility or ballot validity.
• Supervise the counting and tabulation of votes, ensuring accuracy and confidentiality.
• Certify and announce the election results to the shareholders.
• Other duties as assigned
