Director Transaction Lead

Hertz•Atlanta, GA

About The Position

The Director Transaction Lead owns and coordinates transaction execution for the franchise conversion program. The role manages transactions from structuring through signing and closing, integrating transaction work with the parallel capability-build and separation workstreams. It connects transaction-level decisions to operational, strategic, and financial considerations and supports the broader transformation. The role coordinates internal resources and external transaction advisors, manages transaction structures and agreements, oversees counterparty diligence and engagement, and aligns transaction decisions with franchise platform readiness. It also scopes transition services and ongoing franchise-system obligations, tracks transaction and separation costs, supports governance forums, and drives post-close TSA and cost-tracking activities. The Transaction Lead reports to the Global Head of Franchise Growth and works closely with the Franchise Transformation Office and Franchise Platform capability-build teams.

Requirements

  • 10+ years of experience in corporate development, M&A transaction execution, investment banking, transaction advisory, or private equity, with demonstrated ownership of deal execution from structuring through close.
  • Direct sell-side divestiture experience is required; experience with carve-outs, asset sales, and complex multi-jurisdiction commercial transactions is relevant.
  • Proven ability to coordinate fragmented internal teams, executive sponsors, and multiple external advisors without direct line authority.
  • Deep understanding of business and operational requirements in a separation, with ability to collaborate across workstreams such as IT, HR, and Operations.
  • Strong working knowledge of SPAs, asset-purchase agreements, franchise agreements, commercial contracts, and TSAs, and ability to translate legal and commercial terms into operational implications.
  • Experience with the broader separation process, including tracking and managing priorities through post-close execution.
  • Financial literacy to own transaction-cost tracking, evaluate dis-synergy and stranded-cost estimates, and engage credibly with Finance and external financial advisors.
  • Executive presence and credibility with SVP and C-suite stakeholders, SteerCo members, and external counterparties.
  • Excellent business judgment under ambiguity, time pressure, and confidentiality constraints.
  • Strong project management discipline, including milestone and issue-log management, decision-escalation protocols, and cadence design.

Nice To Haves

  • Franchise-sector experience.
  • Experience in multi-jurisdictional or cross-border transactions.
  • Carve-out experience.

Responsibilities

  • Own day-to-day transaction execution and manage the critical path from structuring through signing and closing.
  • Maintain an integrated view of timelines, advisor deliverables, open issues, milestones, costs, and approvals.
  • Coordinate the internal core team and external advisors, establish accountabilities and working cadence, and close coordination gaps.
  • Define the transaction perimeter and structure across assets, people, processes, and systems.
  • Partner with Legal, Finance, and external counsel on franchise agreements, asset-transfer documents, and associated commercial agreements; ensure documents reflect deal rationale, perimeter decisions, and franchise operating-model requirements.
  • Coordinate buyer and franchisee screening, qualification, negotiation, and onboarding across counterparties.
  • Manage the virtual data room and diligence process, including information governance, confidentiality protocols, and regulatory compliance.
  • Bridge transaction decisions across the Franchise Transformation Office, deal execution, and franchise platform workstreams, including perimeter decisions, TSA scoping, entanglement resolution, Day 1 readiness, capability build, system readiness, and brand standards.
  • Collaborate with workstream leads to identify and address operational constraints that could affect deal structure or timing.
  • Scope post-close services with the Franchise Transformation Office and functional leads, distinguishing transition services from permanent franchise-system obligations.
  • Ensure pricing, duration, and exit plans are appropriately structured for relevant services.
  • Track one-time transaction costs, advisor fees, separation costs, stranded costs, and dis-synergies; reconcile estimates with Finance and report transparently to stakeholders.
  • Prepare transaction-workstream materials for SteerCo, the Executive Sponsor, and Strategy & Execution team forums.
  • Escalate decisions outside the negotiation mandate with options, recommendations, and implications.
  • Drive post-close execution, particularly TSAs and separation costs; monitor and regularly report TSA status and billing.
  • Collaborate with the Franchise Transformation Office on governance and wind-down of service agreements.
