Director Transaction Lead

Hertz•Atlanta, GA

About The Position

The Director Transaction Lead owns and manages the transaction execution workstream for a franchise conversion program. The role oversees transaction process management and coordinates internal resources and external advisors to ensure transaction structures, buyer-seller agreements from LOI through signing and closing, franchise documentation, transition services agreements (TSAs), regulatory compliance, and counterparty management are executed in a disciplined manner. The work must be integrated with parallel capability-build and separation workstreams. Reporting to the Global Head of Franchise Growth, the Transaction Lead works closely with the Franchise Transformation Office and Franchise Platform capability-build teams. The role connects transaction-level decisions with operational, strategic, and financial considerations so the transaction workstream enables and stays aligned with the broader transformation. The position leads day-to-day deal execution, coordinates internal and external deal teams, supports transaction structuring and agreement development, manages counterparties and diligence, and bridges transaction decisions across transformation and platform workstreams. It also supports TSA and ongoing-service strategy, tracks transaction and separation economics, prepares governance materials, escalates decisions, and drives post-close execution, including TSA oversight and cost tracking.

Requirements

  • At least 10 years of experience in corporate development, M&A transaction execution, investment banking, transaction advisory, or private equity, with demonstrated ownership of deal execution from structuring through close.
  • Direct sell-side divestiture experience is required.
  • Strong understanding of business and operational requirements in a separation and ability to collaborate with business workstream leads, such as IT, HR, and Operations.
  • Strong working knowledge of transaction agreements, including SPAs, asset-purchase agreements, franchise agreements, commercial contracts, and TSAs, and ability to translate legal and commercial terms into operational implications.
  • Experience with the broader separation process, including tracking and managing priorities through post-close execution.
  • Financial literacy sufficient to own transaction-cost tracking, evaluate dis-synergy and stranded-cost estimates, and engage credibly with Finance and external financial advisors.
  • Ability to coordinate and integrate fragmented internal resources, executive sponsor support, and multiple external advisors without direct line authority.
  • Executive presence and credibility with SVP and C-suite stakeholders, SteerCo members, and external counterparties.
  • Excellent business judgment under ambiguity, time pressure, and confidentiality constraints.
  • Strong project-management discipline, including milestone tracking, issue-log management, decision-escalation protocols, and cadence design.

  • Maintain an integrated view of timelines, advisor deliverables, open issues, milestones, costs, and approvals.

  • Partner with Legal, Finance, and external counsel on relevant agreements, including franchise agreements, asset-transfer documents, and associated commercial agreements.
  • Ensure transaction documentation reflects the deal thesis, perimeter decisions, and franchise operating-model requirements.
  • Coordinate buyer and franchisee screening, qualification, negotiation, and onboarding across multiple counterparties.
  • Manage the virtual data room and diligence process, including information governance, confidentiality protocols, and regulatory compliance.
  • Coordinate transaction decisions across the Franchise Transformation Office, deal execution, and franchise platform workstreams, including perimeter decisions, TSA scoping, entanglement resolution, Day 1 readiness, capability build, system readiness, and brand standards.
  • Collaborate with workstreams to identify and address operational constraints that could affect deal structure or timing.
  • Work with the Franchise Transformation Office and functional leads to scope post-close services and distinguish transition services from permanent franchise-system obligations.
  • Ensure TSA pricing, duration, and exit plans are appropriately structured across relevant functions.
  • Track one-time transaction costs, advisor fees, separation costs, stranded costs, and dis-synergies; reconcile estimates with Finance and report transparently to the Strategy & Execution team, Executive Sponsor, and SteerCo.
  • Prepare transaction-workstream inputs for SteerCo, Executive Sponsor, and Strategy & Execution team forums.
  • Escalate decisions outside the negotiation mandate with clear options, recommendations, and implications.
  • Drive post-close execution, with a focus on TSAs and separation costs.
  • Monitor and report on TSA status and billing regularly; work with the Franchise Transformation Office on governance and service-agreement wind-down.
  • Track one-time separation and stranded costs against estimates and coordinate related reporting and workstream initiatives with the Franchise Transformation Office.
