About The Position

Join the Raytheon legal team as a Director and Senior Counsel for the Advanced Products & Solutions Strategic Business Unit (APS SBU) with the opportunity to support an expansive portfolio of U.S. and international programs. The Senior Counsel reports to the APS SBU General Counsel and directly supports key business stakeholders, programs, and functions. The Senior Counsel serves as the primary point of contact for program guidance and direction on all legal matters, responsible for providing timely, relevant, and pragmatic legal, business, and strategic advice to help programs achieve their objectives. The APS SBU Legal team is an embedded partner present at all levels within the SBU and at key operational events (e.g., monthly financial/business reviews, estimate at completion reviews, staff meetings). Critical to this role is the Senior Counsel's ability to quickly establish and maintain trust and foster a positive reputation with key program and functional leaders. A successful Senior Counsel would have excellent legal and critical thinking skills, an understanding of the SBU business and financial goals, and a keen ability to effectively establish and exploit an internal network of LCC professionals and functional resources.

Requirements

  • Typically requires 12 years of legal experience as a practicing attorney, including 5+ years of legal experience in aerospace and defense or high-tech industries at a law firm, in-house, or with the government
  • Juris Doctorate from an accredited U.S. law school
  • Currently admitted and in good standing with at least one U.S. State bar, and eligible to represent Raytheon as an in-house legal counsel in the job location
  • Experience counseling on a range of U.S. Government, commercial, and international contract and compliance issues including the FAR, DFARS, Truth In Negotiations Act, Organizational Conflicts of Interest, cost principles, data rights, Global Trade, Foreign Corrupt Practices Act, and Anti-Boycott Act
  • Experience reviewing, drafting, and negotiating a wide variety of government and commercial agreements, including international transactions
  • U.S. citizenship is required, as only U.S. citizens are eligible for a security clearance
  • Active and existing security clearance required after day 1

Responsibilities

  • Serve as the primary point of contact to assigned programs providing guidance and direction on all legal, compliance and regulatory matters
  • Advise APS program leadership as a strategic legal partner on new business captures and program execution matters ranging from contract administration and compliance issues to disputes and litigation
  • Review, draft, negotiate, and advise on a variety of government and commercial agreements, including contracts/subcontracts and transactions of all types (i.e., government, commercial, U.S. domestic, international, other transaction agreements, teaming and collaboration agreements, consortium and joint venture arrangements, intellectual property and non-disclosure agreements)
  • Support or lead negotiations of all types and complexities
  • Advise on U.S. and foreign laws and regulations and support development of compliant solutions to meet business objectives
  • Draft or assist in drafting legal, business, or commercial correspondence to customers and other third parties
  • Advise the business on a broad spectrum of domestic and international strategic and operational matters
  • Actively support or lead a variety of special initiatives and projects
  • Present on legal topics for various purposes and audiences (e.g., presenting legal matters to senior business or Legal team leadership, training business or legal personnel)
  • Manage outside counsel and the general counsel budget for matters in your purview
