About The Position

Founded in 1906, over the last 110+ years' CEMEX has grown into a global building materials company that provides high quality products and reliable service to customers and communities throughout the Americas, Europe, Africa, the Middle East, and Asia. The Director, M&A will be a key member of CEMEX’s M&A organization, leading the sourcing, evaluation, structuring, negotiation, and closing of acquisitions (primarily industrial assets and operating companies—often medium‑sized and privately held) in strategic U.S. markets. The role will partner closely with CEMEX’s core businesses (cement, aggregates, and ready-mix) to develop and execute growth strategies. The Director will build advanced financial models, lead due diligence, manage cross‑functional workstreams, and present recommendations to senior leadership; collaboration with corporate M&A/Strategic Planning teams in Monterrey (HQ) may be required for larger transactions. In addition, this leader will own core elements of the corporate development lifecycle—pipeline development, advisor management, executive‑level materials, deal execution, regulatory filings, and integration planning—in a matrixed environment that requires strong influence and executive communication.

Requirements

  • Bachelor’s degree in Finance, Business, Engineering, Economics, or related field.
  • 10+ years of end‑to‑end M&A transaction experience in Corporate Development, Investment Banking, Private Equity, or Transaction Advisory, with a successful execution track record in industrials/natural resources/building materials.
  • Advanced financial modeling/valuation and due diligence expertise.
  • Strong understanding of asset purchase agreements and related transaction documentation.
  • Exceptional PowerPoint and Excel skills.
  • Superior critical thinking, judgment, and problem‑solving.
  • Persuasive executive communication (board‑room presence).
  • Ability to lead through influence in a matrixed environment and manage multiple complex projects simultaneously.
  • Understanding of industrial sector dynamics and regulatory considerations.
  • Ability to identify key business drivers and assumptions to inform investment decisions.
  • Strong relationship‑building and negotiation capabilities; ability to inspire confidence with internal and external stakeholders.
  • Demonstrated rigor in improving data quality, analytics, and decision support.
  • Comfort operating at multiple altitudes—strategic portfolio view to hands-on execution.

Nice To Haves

  • MBA or advanced degree strongly preferred.
  • Experience with cement/aggregates or heavy industrial assets is a plus.

Responsibilities

  • Build and actively manage an acquisition pipeline at the business‑unit level; cultivate targets and maintain market intelligence on competitors, adjacencies, and strategic fit.
  • Proactively present and pitch opportunities to CEMEX executive management with clear strategic rationale and value creation theses.
  • Define pipeline priorities and deal strategies aligned with financial/business cases and portfolio objectives.
  • Lead complete due diligence processes (commercial, operational, legal, financial, environmental, etc.), coordinating internal SMEs and external advisors in accordance with CEMEX protocols.
  • Build and pressure‑test complex valuation/operating models; assess earnings quality, returns, tax, and accounting implications.
  • Benchmark targets vs. CEMEX performance drivers; quantify synergies and integration assumptions.
  • Lead negotiations, working with legal to structure definitive agreements, TSAs, post‑closing adjustments, and closing deliverables.
  • Manage regulatory filings/approvals and coordinate internal/external communications for transaction milestones.
  • Resolve issues rapidly across the deal lifecycle and ensure CEMEX maximizes value and captures identified synergies.
  • Develop and communicate robust transition and Day‑1/Day‑100 integration plans; ensure seamless handoffs to operating leaders, integration owners and track value realization.
  • Establish strong partnerships with business leaders and enabling functions (Finance, Legal, Tax, HR, Operations, EHS, etc.).
  • Assist in managing relationships with investment banks, private equity/VC, and external legal/tax/consulting advisors.
  • Prepare and deliver high‑quality materials for executive leadership and Board‑level reviews.
