About The Position

RBC’s Mid-Market M&A team advises private companies on divestitures, acquisitions, buyouts and carveouts. We are Canada’s largest dedicated Mid-Market M&A team within RBC’s Corporate Client Group in Commercial Banking. As a Director, you will assume day-to-day responsibility for pitch support, end-to-end transaction execution, and the development of team marketing materials as part of a dynamic team guided by Regional Leaders and supported by Associate Directors and Analysts. This role combines technical expertise, project and client relationship management, and leading small high-performing deal teams.

Requirements

  • 5+ years in private company M&A with a proven track record of executing and closing Mid-Market transactions
  • Deep understanding of Canadian accounting, valuation, legal, and tax principles in M&A contexts
  • Strong interpersonal and networking skills to develop connections with regional stakeholders (e.g., private equity, legal, tax advisors)
  • Ability to build and sustain client relationships, support pitches, and manage transactions independently
  • Entrepreneurial, collaborative, and committed to delivering value-added advice with integrity
  • Exceptional project management and communication skills
  • Willingness to travel, as needed

Nice To Haves

  • Prior experience with Mid-Market transactions and private company dynamics
  • Advanced degree and/or professional credentials (e.g., MBA, CPA, CFA, CBV) or equivalent experience

Responsibilities

  • Support Senior Directors and Managing Directors in originating, pitching and winning M&A mandates by building trust with entrepreneurial clients and leveraging RBC’s platform
  • Advise business owners on complex transactions, guiding them through negotiation and closing processes
  • Partner with Commercial Banking, Wealth Management, Private Banking and Capital Markets teams to identify opportunities and strengthen RBC’s brand
  • Manage mandates from origination to close, ensuring high-quality deliverables and adherence to accounting, legal, and tax standards
  • Mentor and develop junior staff (i.e., deal teams usually have 2–3 Associate Directors/Analysts contributing), fostering a culture of professionalism and excellence
  • Expand your and RBC’s profile through internal and external networking and relationship-building with RBC partners, private equity firms, legal counsel, and tax advisors
