Director, Corporate, M&A and Securities We have an opportunity for a Director, Corporate, M&A and Securities to join our Legal team, reporting to the VP Legal . In this pivotal role, you will serve as a broad corporate legal leader leading the full spectrum of M&A, strategic transactions, securities, corporate governance, disclosure controls, equity compensation and equity plan matters, and other corporate legal matters. This role demands public securities and M&A expertise, executive-level influence and the ability to operate strategically, proactively, and autonomously across functions and geographies. Requirements

  • Minimum 12 years of experience as a corporate, public securities & M&A lawyer at a top-tier law firm or in-house legal department with at least 7 years significant, hands-on public securities and M&A transactional experience (tech sector strongly preferred)
  • Deep experience in M&A – including; cross-border transactions, joint ventures, divestitures, and post-merger integration – with a demonstrated track record of leading complex deals as a primary legal advisor
  • Strong background in public-company securities and corporate governance matters, including SEC reporting, disclosure controls, board governance, proxy statements, annual meeting support and related securities law compliance
  • Broad knowledge of corporate law, corporate governance, securities regulation, and subsidiary/entity management in a global technology company context
  • Hands-on experience with equity compensation plan administration and related securities law compliance and exchange listing requirements
  • Demonstrated ability to work on complex issues where problems are not clearly defined and where fundamental principles do not fully apply; proven skill in structuring creative solutions under time pressure and ambiguity
  • Experience participating in corporate development of methods, techniques, and evaluation criteria for deal assessment and transaction management
  • Proven success interacting with and influencing senior management and executive leadership, including C-suite and Board-level stakeholders, on matters of strategic significance
  • Ability to reconcile multiple stakeholder views, manage competing priorities, and drive results in a matrixed, fast-paced environment
  • Strong expertise in managing and directing outside counsel across multiple jurisdictions and practice areas
  • Extensive experience working with regulatory, securities and antitrust compliance framework
  • Sense of urgency and bias toward action; executive-level presence and influence
  • Excellent communication and presentation skills, with the ability to distill complex legal positions into clear, actionable business recommendations
  • JD degree or equivalent; admitted to practice in at least one U.S. jurisdiction

Responsibilities

  • Lead all M&A and strategic transactions — mergers, acquisitions, divestitures, joint ventures, and restructurings — as primary legal advisor from origination through post-closing integration; partner with senior management to shape strategy aligned with Infoblox's corporate development roadmap
  • Own the end-to-end deal lifecycle — due diligence, risk assessment, negotiation, signing, closing, and integration — making final decisions on deal structures and ensuring operational effectiveness
  • Advise on corporate governance matters, including board and committee materials, governance policies, minutes, consents, subsidiary management, and corporate approvals
  • Advise on securities law matters, help build public-company readiness infrastructure and support securities law reporting and disclosure processes
  • Support equity compensation and equity plan matters, including equity plan administration, award documentation, employee equity communications
  • Draft, negotiate, and finalize complex transaction agreements, ensuring alignment with company policies and risk tolerance
  • Manage outside counsel across jurisdictions and partner cross-functionally with Finance, Tax, HR, IT, Product, and Corporate Development to ensure seamless deal execution and risk mitigation
  • Advise on corporate governance, subsidiary management, and compliance — including Board support, regulatory filings, entity structuring, and securities law — ensuring global legal entities adhere to applicable laws and policies
  • Engage senior management, executives, and Board-level stakeholders on matters of strategic significance, presenting complex legal positions with clarity and business context
