About The Position

Rubrik is seeking an exceptional, business-minded attorney to join its Corporate Legal team as a Director, Corporate Legal & M&A. This role reports to the Deputy General Counsel, Corporate and is a high-impact, broad-scope position covering public-company securities, mergers and acquisitions, corporate compliance, and incident response legal stewardship. The position requires partnering closely with various departments including Finance, Accounting, Investor Relations, Equity, Information Security, Sales, and Channel, as well as managing outside counsel. The ideal candidate will possess deep technical expertise, sound practical judgment, and the ability to operate independently in a dynamic environment. People leadership skills are also required as the role involves managing a team.

Requirements

  • J.D. from an accredited law school and active membership in good standing of the California Bar (or eligibility to register as in-house counsel in California).
  • Approximately 8+ years of combined experience at a leading law firm and in-house, with substantial time supporting a public company.
  • Hands-on public-company securities experience, with deep working knowledge of '33 Act and '34 Act reporting, Section 16, Rule 10b5-1 plans, stock-exchange rules, and corporate governance best practices.
  • Demonstrated experience leading technology M&A transactions end-to-end, including diligence, definitive agreements, and integration.
  • Experience building or running corporate compliance programs — export controls/sanctions, anti-bribery/anti-corruption, and/or channel/partner compliance.
  • Experience advising on the legal aspects of cybersecurity incident response, breach notification, and regulatory disclosure.
  • A demonstrated willingness to lean into AI — actively adopting AI tools and helping transform how every part of the corporate legal function operates.
  • Excellent judgment, a pragmatic and business-oriented approach, strong written and verbal communication, and the ability to operate independently and manage multiple priorities in a fast-paced environment.
  • People-management and team-building experience — directly managing, mentoring, and developing legal team members and managing outside counsel.
  • Comfort partnering with non-legal stakeholders across Finance, Accounting, HR, Equity, Information Security, Sales, and Channel.

Responsibilities

  • Prepare, review, and manage the filing of SEC reports (Forms 10-K, 10-Q, 8-K), the annual proxy statement, registration statements, and Section 16 filings.
  • Advise on compliance with securities laws, SEC rules, NYSE listing standards, and Delaware corporate law.
  • Own disclosure controls and procedures, and continuously improve the reporting calendar and process.
  • Partner with Finance, Accounting, and Investor Relations on public disclosures.
  • Support corporate governance, including Board and committee materials, governance policies, director independence, Rule 10b5-1 plans, insider trading programs, and subsidiary governance.
  • Lead the legal workstream for acquisitions, investments, dispositions, and strategic transactions from diligence to post-closing matters.
  • Coordinate cross-functional diligence and manage outside counsel and advisors for M&A transactions.
  • Support equity financing and capital markets matters, including debt, credit, or treasury transactions.
  • Own and build the global trade compliance program, including export controls and sanctions.
  • Own and mature the anti-bribery/anti-corruption program, including policies, training, and due diligence.
  • Advise on channel and partner program compliance.
  • Develop policies, training, and monitoring across the corporate compliance portfolio.
  • Own the legal components of the incident response program, leading the legal response to security incidents.
  • Direct forensics, insurers, and outside counsel to preserve privilege during incident response.
  • Advise on breach-notification obligations and regulatory disclosure requirements.
  • Draft and coordinate regulatory, customer, and stakeholder notifications.
  • Lead, mentor, and grow a team of corporate legal professionals, setting priorities and standards.
  • Manage and develop direct reports, allocate work, and build scalable processes.
  • Partner with the Deputy General Counsel, Corporate to shape the corporate legal function.
