About The Position

This Director, Senior Corporate Counsel will serve as a strategic legal partner to the DaVita Venture Group, focusing on building partnerships with health care innovators to help improve the lives of patients with kidney disease. The primary scope of this role includes drafting, negotiating, and closing a wide variety of strategic transactions, including Mergers & Acquisitions (M&A), strategic partnerships, and equity investments. As a member of DaVita’s legal department, the “Justice League of DaVita” (JLD), this attorney must balance legal risk with business objectives, providing creative, practical, commercially-minded advice while maintaining the highest ethical standards. This role offers a unique opportunity to work on high-impact deals that drive the growth and evolution throughout DaVita’s different businesses.

Requirements

• Juris Doctorate (J.D.) from an accredited law school.
• Admission to a State Bar in good standing (Colorado preferred; ability to waive into Colorado required).
• 3 to 6 years of legal practice, preferably with a top-tier law firm or a sophisticated in-house legal department.
• Substantial experience in corporate transactions, specifically M&A, strategic partnerships, and/or venture capital or growth equity investments.

• Experience in the healthcare industry is preferred but not strictly required for a quick learner.
• Demonstrated time management and organizational skills and comfort working independently in a fast-paced, high-volume environment with shifting priorities and competing work streams to achieve thoughtful, successful, and timely results.
• Superior written, verbal, and interpersonal communication skills with an acute ability to listen attentively and to distill complex legal concepts into “plain English” throughout all levels of the organization.
• Ability to balance legal risk with business objectives, providing creative, practical, commercially-minded advice while maintaining the highest ethical standards.
• A collaborative spirit and willingness to jump in and help colleagues.

Responsibilities

• Under the supervision of the Group General Counsel, support all aspects of M&A transactions and equity investments from due diligence through closing. This includes drafting and negotiating non-disclosure agreements, term sheets, and definitive agreements such as stock purchase, stockholder, investor rights, and voting agreements.
• Under the supervision of the Group General Counsel, support all aspects of strategic partnerships and joint ventures, including drafting and negotiating pilot and other partnership agreements to drive a broad range of initiatives with innovative third parties.
• Manage and coordinate legal due diligence, identify key risks (regulatory, operational, contractual) and propose mitigation strategies.
• Develop and effectively articulate creative solutions within the context of the broader business and enterprise-level objectives to drive risk mitigation and negotiation strategies.
• Work closely with the Finance, Compliance, Accounting and Clinical teams to ensure deal terms align with enterprise goals and regulatory requirements (e.g., Stark, Anti-Kickback).
• Contribute to the development and implementation of playbooks, standardized templates, processes and training materials, while leveraging emerging technologies and AI-enabled tools.
• Efficiently manage outside counsel when engaged for specialized support, ensuring high-quality work product and budget adherence.
