About The Position

DaVita Kidney Care is seeking a Director, Senior Corporate Counsel to serve as a strategic legal partner to the DaVita Venture Group. This role focuses on building partnerships with healthcare innovators to improve the lives of patients with kidney disease. The primary responsibilities include drafting, negotiating, and closing strategic transactions such as Mergers & Acquisitions (M&A), strategic partnerships, and equity investments. As part of DaVita’s legal department, the “Justice League of DaVita” (JLD), this attorney will balance legal risk with business objectives, providing creative, practical, and commercially-minded advice while upholding the highest ethical standards. This position offers a unique opportunity to work on high-impact deals that drive growth and evolution across DaVita’s businesses.

Requirements

  • Juris Doctorate (J.D.) from an accredited law school.
  • Admission to a State Bar in good standing (Colorado preferred; ability to waive into Colorado required).
  • 3 to 6 years of legal practice, preferably with a top-tier law firm or a sophisticated in-house legal department.
  • Substantial experience in corporate transactions, specifically M&A, strategic partnerships, and/or venture capital or growth equity investments.
  • Demonstrated time management and organizational skills.
  • Comfort working independently in a fast-paced, high-volume environment with shifting priorities and competing work streams.
  • Superior written, verbal, and interpersonal communication skills.
  • Ability to listen attentively and distill complex legal concepts into “plain English”.
  • Ability to balance legal risk with business objectives, providing creative, practical, commercially-minded advice while maintaining the highest ethical standards.
  • A collaborative spirit and willingness to help colleagues.

Nice To Haves

  • Experience in the healthcare industry is preferred but not strictly required for a quick learner.

Responsibilities

  • Support all aspects of M&A transactions and equity investments from due diligence through closing, including drafting and negotiating non-disclosure agreements, term sheets, and definitive agreements.
  • Support all aspects of strategic partnerships and joint ventures, including drafting and negotiating pilot and other partnership agreements.
  • Manage and coordinate legal due diligence, identify key risks (regulatory, operational, contractual), and propose mitigation strategies.
  • Develop and articulate creative solutions within the context of broader business and enterprise-level objectives to drive risk mitigation and negotiation strategies.
  • Work closely with Finance, Compliance, Accounting, and Clinical teams to ensure deal terms align with enterprise goals and regulatory requirements (e.g., Stark, Anti-Kickback).
  • Contribute to the development and implementation of playbooks, standardized templates, processes, and training materials, leveraging emerging technologies and AI-enabled tools.
  • Efficiently manage outside counsel, ensuring high-quality work product and budget adherence.
