About The Position

A highly respected AmLaw 100 firm is seeking a Debt Finance Associate Attorney to join its Boston office. This opportunity is ideal for an attorney interested in representing commercial banks, direct lenders, private credit funds, private equity sponsors, borrowers, and other financial institutions in sophisticated debt financing transactions.

Requirements

  • 2–5 years of debt finance experience gained at a sophisticated law firm
  • Experience representing commercial banks, private credit funds, institutional lenders, borrowers, private equity sponsors, and financial institutions
  • Experience handling acquisition financings, leveraged finance transactions, syndicated credit facilities, asset-based lending, cash flow lending, refinancing transactions, and general corporate lending matters
  • Experience drafting and negotiating credit agreements, commitment letters, security agreements, guaranties, collateral documents, intercreditor agreements, and other financing documents
  • Experience with secured lending transactions, transaction closings, and coordinating multidisciplinary deal teams
  • Working knowledge of the Uniform Commercial Code (UCC) and secured transactions
  • Strong drafting, negotiation, analytical, and communication skills
  • Ability to independently manage sophisticated financing transactions while maintaining significant client interaction
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Massachusetts bar admission required or ability to become admitted

Responsibilities

  • Representing commercial banks, direct lenders, private credit funds, private equity sponsors, borrowers, and other financial institutions in sophisticated debt financing transactions.
  • Handling acquisition financings, leveraged finance transactions, syndicated credit facilities, asset-based lending, cash flow lending, refinancing transactions, and general corporate lending matters.
  • Drafting and negotiating credit agreements, commitment letters, security agreements, guaranties, collateral documents, intercreditor agreements, and other financing documents.
  • Managing secured lending transactions, transaction closings, and coordinating multidisciplinary deal teams.
  • Maintaining significant client interaction.
  • Independently managing sophisticated financing transactions.
