About The Position

The Counsel position will serve as a key member supporting the organization’s legal needs by managing the contracts team and other legal-related processes and assisting the General Counsel in providing legal advice to business stakeholders. The firm has one available position in either Long Beach, CA; Walnut Creek, CA; San Francisco, CA; Bellevue, WA or Portland, OR.

Requirements

  • Juris Doctor degree with three (3) to seven (7) years of relevant experience as a practicing attorney at a law firm or as an in-house corporate attorney required.
  • Must be a member in good standing with the Bar in one U.S. state or territory.
  • Litigation experience required.
  • Demonstrated experience drafting, reviewing, negotiating, and advising on a variety of contracts, including negotiation of agreements with clients, vendors and other third parties is required.
  • Strong experience and ability to understand and provide insight to clients concerning nuanced issues in a variety of practice areas.
  • Ability to anticipate and identify issues and strategically weigh risks and potential legal outcomes is required.
  • Detail-oriented, with excellent organizational skills and ability to prioritize competing deadlines.
  • Excellent written and verbal communication and interpersonal skills.
  • Ability to work independently with initiative and as a team member.
  • Interest in a long-term role contributing to the strategic development of a growing legal department.
  • Willingness to work occasional nights or weekends as client needs may dictate.

Nice To Haves

  • Preferred professional liability and/or accountants liability experience is preferred.

Responsibilities

  • Support the General Counsel in advising the organization in connection with a variety of legal and contractual matters, including:
  • Oversee and coordinate the work of paralegals providing high quality support to partners and employees with respect to preparation of the organization’s client engagement letters, master services agreements, responses to requests for proposals, subcontractor agreements, Kovel agreements, non-disclosure agreements, conflict waivers, and other vendor and client-related agreements.
  • Oversight of the organization’s subpoena compliance and other court-related matters, including strategy and ensuring team maintains accurate information in the case management system.
  • Review leases for the organization’s premises throughout the country and/or oversee related work performed by staff or outside counsel.
  • Management of the organization’s intellectual property.
  • Effectively manage outside counsel’s use of time and resources in any outsourced legal matters.
  • Perform other duties and responsibilities as assigned.
