The TD Wealth and Asset Management Legal Team, within the TD Legal Department, provides strategic and practical legal advice to advance the objectives as well as the TD risk management requirements of the TD Wealth businesses, including TD Asset Management Inc. (TDAM). This position will be primarily dedicated to supporting the TDAM business.

Requirements

Ideally 3+ years of experience in a top law firm and/or in-house position practicing securities law.
Knowledge and experience with National Instrument 31-103 and National Instruments 81-101 through 81-107, investment funds and other pooled funds, institutional investing, and general securities and corporate law.
Experience drafting disclosure documents for the initial and continued offering of investment funds, including prospectuses, and offering circulars.
Critical thinker with excellent judgment.
Strong interpersonal skills and the ability to work effectively with multiple partners and stakeholders.
Superior communication and analytical skills, including the ability to communicate effectively with senior members of TDAM's management team.
Ability to manage multiple deadlines and priorities without sacrificing focus and attention to detail.
Self-motivated with the ability to work well independently and collaboratively in a large legal team setting with other lawyers and TD Legal Department leaders.

Responsibilities

Involved in a wide range of legal asset management matters, supporting TDAM's institutional and retail businesses with a primary focus on retail.
Advising on the launch and distribution of new retail mutual funds and ETFs as well as private pooled and alternative funds.
Providing day-to-day legal support to TDAM, including drafting, reviewing, and negotiating commercial agreements and investment fund disclosure documentation.
Providing legal and regulatory advice in relation to investment funds, portfolio management, and investment fund management services.
Working on strategic initiatives, including global distribution projects.
Working with internal stakeholders and managing external counsel to achieve business objectives.
Providing advice on corporate governance and other regulatory matters.
