About The Position
A premier global law firm is seeking a Corporate & Securities Associate Attorney to join its Philadelphia office. This opportunity is ideal for an attorney interested in representing public companies in sophisticated securities, capital markets, and corporate governance matters.
Requirements
- 2–3+ years of corporate, securities, or capital markets experience gained at a sophisticated law firm
- Experience representing public companies in ongoing corporate and securities matters
- Experience advising clients regarding corporate governance, SEC reporting, securities law compliance, and public company disclosure obligations
- Experience with capital markets transactions, including public and private offerings of equity and debt securities
- Strong working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934
- Experience drafting and reviewing registration statements, periodic SEC filings, proxy statements, board materials, and other securities-related documents
- Experience working collaboratively on sophisticated public company representations
- Strong drafting, analytical, organizational, and communication skills
- Outstanding academic credentials and a commitment to excellence
- J.D. from an ABA-accredited law school required
- Pennsylvania bar admission required
Responsibilities
- Representing public companies in sophisticated securities, capital markets, and corporate governance matters.
- Representing public companies in ongoing corporate and securities matters.
- Advising clients regarding corporate governance, SEC reporting, securities law compliance, and public company disclosure obligations.
- Working on capital markets transactions, including public and private offerings of equity and debt securities.
- Drafting and reviewing registration statements, periodic SEC filings, proxy statements, board materials, and other securities-related documents.
- Working collaboratively on sophisticated public company representations.
