About The Position

A premier global law firm is seeking a Corporate & Securities Associate Attorney to join its Philadelphia office. This opportunity is ideal for an attorney interested in representing public companies in sophisticated securities, capital markets, and corporate governance matters.

Requirements

  • 2–3+ years of corporate, securities, or capital markets experience gained at a sophisticated law firm
  • Experience representing public companies in ongoing corporate and securities matters
  • Experience advising clients regarding corporate governance, SEC reporting, securities law compliance, and public company disclosure obligations
  • Experience with capital markets transactions, including public and private offerings of equity and debt securities
  • Strong working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934
  • Experience drafting and reviewing registration statements, periodic SEC filings, proxy statements, board materials, and other securities-related documents
  • Experience working collaboratively on sophisticated public company representations
  • Strong drafting, analytical, organizational, and communication skills
  • Outstanding academic credentials and a commitment to excellence
  • J.D. from an ABA-accredited law school required
  • Pennsylvania bar admission required

Responsibilities

  • Representing public companies in sophisticated securities, capital markets, and corporate governance matters.
  • Representing public companies in ongoing corporate and securities matters.
  • Advising clients regarding corporate governance, SEC reporting, securities law compliance, and public company disclosure obligations.
  • Working on capital markets transactions, including public and private offerings of equity and debt securities.
  • Drafting and reviewing registration statements, periodic SEC filings, proxy statements, board materials, and other securities-related documents.
  • Working collaboratively on sophisticated public company representations.

Benefits
