Requirements

  • Bachelor's degree.
  • Three years of experience as a corporate paralegal or comparable work experience preferred.
  • Strong interpersonal and communication skills.
  • Demonstrated self-starter who is both highly organized and a team player.
  • Comfort learning and working with new technologies.
  • Willingness to develop proficiency in firm-approved artificial intelligence and legal technology tools.
  • Ability to critically assess technology-assisted work product, verify outputs, protect confidential information, and exercise sound judgment regarding appropriate use is essential.

Responsibilities

  • Independently manages closing logistics for transactions, including drafting supporting certificates and schedules, coordinating large document productions, and developing systems for tracking document delivery.
  • Prepares state, UCC, and federal regulatory filings as necessary.
  • Resolves common problems encountered in transactions and corrects them with minimal assistance.
  • Forms appropriate opinions for corrective actions after consideration and deliberations.
  • Demonstrates familiarity with unique or uncommon events in the life cycles of public and private companies, and with state and federal reporting requirements for regulatory matters and company documents.
  • Completes and reviews investor subscription documents, ensuring accuracy and consistency of responses, and tracks these documents using spreadsheets and databases.
  • Tracks and maintains corporate minute books and stock record books.
  • Maintains and manages a database to track the location and status of client records and institutional information.
  • Assists in the drafting of entity governing documents, resolutions, consents, minutes, equity ownership documents, and transfer agreements.
  • Reviews KYC documentation, including entity governing documents, tax documents, and personal identity verification documents.
  • Develops knowledge of entity legal structures.
  • Drafts closing documents, including closing certificates, partnership and operating agreements, and side letters.
  • Coordinates the legal closing of private investment funds to meet client deadlines.
  • Identifies opportunities to improve existing workflows through technology and AI-enabled tools and collaborates with relevant teams to support adoption.
  • Participates in required training and maintains proficiency with firm-approved AI and legal technology tools.
  • Adheres to all firm policies and requirements regarding the responsible use of artificial intelligence and other technologies.
  • Maintains strict confidentiality of the firm's internal and personnel affairs.
  • Interacts and collaborates effectively with all levels of personnel.
  • Serves as a resource, facilitator, and mentor to support the needs of the department.
  • Anticipates problems and issues and exercises independent judgment to make sound decisions and take action, knowing when and to whom to escalate issues.
  • Provides clear instructions to AI tools, assesses outputs critically, identifies potential inaccuracies, and applies appropriate human review.
  • Shares information, goals, opportunities, successes, and failures with appropriate parties.
  • Owns professional development by actively seeking feedback and learning new skills.
  • Performs other work-related duties as assigned.
