About The Position

This position will report to the Associate General Counsel, with regular interaction with the Chief Legal Officer and Tax Department and serve as critical legal support for PrimeSource. The role involves providing comprehensive legal support for various business functions, collaborating with multiple departments, and managing corporate compliance and legal research.

Requirements

  • Bachelors degree or equivalent from an accredited four-year college or university.
  • At least 4+ years of corporate paralegal experience at a law firm or corporation is required.
  • Must be familiar with domestic entity compliance and filing of annual reports in a variety of U.S. jurisdictions.
  • Strong research and analytical skills are required.
  • Skilled in use of MS Office, especially including Outlook, Word, Excel and Teams.
  • Familiarity with - or willingness to learn - contract management, service-of-process and e-billing solutions is required.

Nice To Haves

  • Previous in-house experience is desirable, but not an absolute requirement.
  • IP experience, preferably with trademarks, is a plus.
  • Tax experience, particularly with state and local filings, is a plus.
  • Experience drafting and negotiating contracts is a plus.
  • Familiar with SAP is a plus.
  • Proficiency with DocuSign is a plus.
  • Paralegal certificate from an accredited institution beneficial, but not an absolute requirement.

Responsibilities

  • Work closely with the Chief Legal Officer and Associate General Counsel to provide support for a wide variety of business functions.
  • Work with teams across the Company, such as Tax, Finance, Human Resources, Treasury, Information Technology, Global Sourcing and Sales on various projects and initiatives.
  • Maintain list of Officers and Directors.
  • Work closely with VP-Tax and liaison with Accounting Department to file annual reports.
  • Work closely with VP-Tax and liaison with E&Y to file federal and state tax documents.
  • Conduct tax payment research using internal financial software (SAP).
  • Work closely with Accounting Department to submit tax quarterly payments and Personal Property tax payments.
  • Draft written consents and monitor domestic and foreign entity compliance.
  • Liaison with various departments to resolve regulatory and compliance matters.
  • Conduct legal research on matters including transactional, IP and regulatory requests.
  • Assist in protection and maintenance of trademarks and patents, as well as other IP issues.
  • Coordinate with outside counsel on intellectual property and other matters.
  • Correspond with internal clients on trademark inquiries, obtaining evidence and instructions, and advising on proper use of trademarks.
  • Support drafting and revision of commercial contracts.
  • Contribute to pre-litigation dispute resolution, including collecting, reviewing and producing documents.
  • Drafting legal correspondence, such as cease & desist letters and other communications with direction of AGC and CLO.
  • Maintaining Legal Department file organization.
  • Assist in filing, facilitating, and resolving insurance claims.
  • Review invoices and coordinate approvals and payments related to IP and corporate services.
  • Liaison with HR to review, process and respond to subpoenas.
