Shared Medical Services is seeking an experienced and detail-oriented Corporate Paralegal to support our Legal and Corporate Compliance team. Requirements

  • Bachelor’s degree and Paralegal Certificate from an ABA-approved program (or equivalent experience)
  • Minimum of four (4) years of corporate paralegal experience preferred
  • Strong knowledge of healthcare regulatory frameworks and contract administration practices
  • Experience with contract lifecycle management tools and legal database systems
  • Proficiency in Microsoft Office applications including Word, Excel, Outlook, Access, and NetSuite
  • Familiarity with AI-assisted technologies and effective prompting for corporate legal applications
  • Excellent organizational, communication, and project management skills
  • Ability to manage multiple priorities in a fast-paced, highly regulated environment
  • High level of professionalism, discretion, confidentiality, and attention to detail
  • Strong collaboration skills with the ability to work effectively across departments and leadership levels

Nice To Haves

  • Healthcare, life sciences, or healthtech industry experience strongly preferred

Responsibilities

  • Draft, review, and manage a high volume of commercial agreements, including: Vendor Contracts, Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), Business Associate Agreements (BAAs), Operations Agreements, Management Agreements, Requests for Proposal (RFPs)
  • Assist with the preparation and development of contract proposals
  • Maintain and update contract lifecycle management (CLM) systems
  • Track contract renewals, terminations, compliance milestones, and key deadlines
  • Ensure contracts comply with applicable laws, regulations, and internal policies
  • Oversee database maintenance, audits, reporting, and query functions
  • Communicate effectively with internal departments and external stakeholders throughout the contract lifecycle process
  • Support entity management activities, including incorporation, maintenance, and dissolution of subsidiaries and affiliates
  • Assist with Corporate Securities Offering filings for managed entities
  • Prepare board and committee meeting materials including resolutions, consents, and meeting minutes
  • Maintain organized corporate records in accordance with regulatory requirements
  • Assist with government contract reporting obligations
  • Support intellectual property asset tracking, including trademarks, patents, and copyrights
  • Coordinate with outside counsel and internal teams regarding compliance, enforcement, litigation, and related legal matters
  • Assist with confidentiality and licensing agreements related to proprietary technology and healthcare data
  • Draft and review outgoing corporate correspondence
  • Provide additional legal and compliance support as assigned
