About The Position

IONIC DIGITAL, a digital infrastructure company, is seeking an experienced, highly organized, detail-oriented Corporate Paralegal to support our General Counsel and Legal Department in managing corporate governance, SEC compliance, contracts, and legal operations in a fast-paced public company environment. The Corporate Paralegal will play a key role in supporting the legal and governance functions of the Company and its subsidiaries. This position is ideal for an experienced corporate paralegal who thrives in a dynamic environment and enjoys working across a broad range of legal and operational matters, including Board support, subsidiary management, SEC compliance processes, contract administration, and legal operations. The ideal candidate is proactive, highly organized, business-minded, and capable of managing multiple priorities while handling confidential matters with professionalism and discretion.

Requirements

  • Bachelor’s degree and/or paralegal certification preferred.
  • Minimum 5 years of experience as a corporate or commercial paralegal, preferably supporting a publicly traded company.
  • Experience with corporate governance, Board and committee support, SEC reporting processes, subsidiary management, and public company compliance requirements strongly preferred.
  • Familiarity with Section 16 filings, annual shareholder meetings, and entity management.
  • Experience managing commercial contracts and legal operations systems.
  • Proficiency in Microsoft Office Suite, Adobe Acrobat, and contract management/e-signature platforms such as DocuSign or PandaDoc.
  • Strong organizational, analytical, communication, and project management skills.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Strong judgment, discretion, and attention to detail.
  • Ability to interact professionally with executives, Board members, outside counsel, and cross-functional teams.

Nice To Haves

  • Experience with governance management systems and AI-enabled legal tools is a plus.

Responsibilities

  • Support the General Counsel and Corporate Secretary with corporate governance and entity management matters for the Company and its subsidiaries.
  • Maintain and organize corporate records, minute books, governance files, and subsidiary records.
  • Prepare and maintain corporate resolutions, written consents, secretary certificates, incumbency certificates, and related governance documentation.
  • Coordinate Board of Directors and committee meeting logistics, materials, agendas, and approvals.
  • Assist with annual shareholder meeting preparation and coordination.
  • Support SEC reporting and compliance processes, including assistance with Forms 10-K, 10-Q, 8-K, proxy statements, and related disclosures.
  • Assist with Section 16 compliance processes, including Forms 3, 4, and 5 filings and insider reporting requirements.
  • Maintain governance calendars, compliance trackers, and recurring filing deadlines.
  • Coordinate annual director and officer questionnaires and governance certifications.
  • Liaise with outside counsel, auditors, transfer agents, and internal stakeholders on governance and compliance matters.
  • Manage contract administration processes, including drafting, revising, tracking, organizing, and maintaining legal agreements under supervision of General Counsel and other attorneys in Legal Department.
  • Prepare and process standard agreements such as NDAs, vendor agreements, consulting agreements, service agreements, IT agreements, licensing agreements, and other commercial contracts.
  • Coordinate signature workflows using DocuSign, PandaDoc, or similar platforms.
  • Maintain contract databases, repositories, trackers, and legal records systems.
  • Monitor contractual deadlines, renewals, notice periods, and compliance obligations.
  • Support legal operations initiatives, including process improvements, template management, and workflow optimization.
  • Assist with records retention, document management, and legal research projects.
  • Provide administrative and operational support to the Legal Department as needed.
