About The Position

SourcePro Search is conducting a search for a Corporate Paralegal with a top-rated law firm. This role requires experience in Corporate law, with proficiency in Blue Sky, Carta and Section 16. This role is based in San Diego and includes a hybrid work arrangement. Candidates must be able to work both on-site and remotely.

Requirements

  • Bachelor's Degree or a Paralegal certificate.
  • Must meet the California Paralegal Requirements.
  • 1 year of Paralegal experience.
  • Strong skills in Word, Excel and Outlook.
  • Experience with legal software such as Relativity, LexisNexis, Westlaw or similar application required.
  • Public and private company experience.
  • Carta experience.
  • Section 16 experience.
  • Blue Sky experience.
  • Experience preparing and filing a variety of corporate legal documents (Articles of Incorporation/Organization, amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts or certificates, short-form closing deliverables, and filing annual reports).
  • Strong skills in Microsoft Word, Excel, and Outlook.
  • Large firm experience.

Responsibilities

  • Performing a range of substantive case, matter, or entity-related duties by supporting efforts between attorneys, clients, outside legal counsel, opposing legal counsel, and other parties.
  • Developing, monitoring, and updating closing and other documents.
  • Researching, preparing, and filing legal UCC Financing Statements, Articles of Incorporation/Organization, annual reports.
  • Managing data rooms and matter files.
  • Coordinating execution and delivery of documentation to other parties’ counsel, lenders, governmental agencies, etc., including all closing documentation.
  • Developing, monitoring, and updating closing and other checklists.
  • Effectively communicating, verbally and in writing, with clients, lawyers, business professionals, and third parties.
  • Producing deliverables, answering phone calls, and replying to correspondence in an efficient and responsive manner.
  • Providing timely, accurate, and quality work product.
  • Successfully meeting deadlines, expectations, and performing work duties as required.
  • Fostering positive work relationships.
  • Complying with all firm policies and practices.
  • Engaging in both physical and sedentary activity, such as (a) working at a computer for extended periods of time, including on-screen reading and typing; (b) participating in digital/virtual conference calls; (c) participating in meetings as needed.
  • Performing all other duties, tasks or projects as assigned.
