About The Position

We are seeking a full‑time Corporate Paralegal to support our Healthcare Practice Group in the Roseland, NJ office. This role is ideal for someone who is detail‑oriented, organized, and comfortable working in a fast‑paced legal environment. The Corporate Paralegal will support healthcare attorneys with a broad range of corporate and regulatory matters, including transactions, entity formations, and ongoing compliance. This position requires flexibility to work additional hours as needed, particularly during transaction closings and time‑sensitive matters.

Requirements

  • Bachelor’s degree or paralegal certificate from an accredited program.
  • Minimum 5+ years of experience as a corporate paralegal in a law firm setting, with experience supporting corporate transactions; healthcare experience strongly preferred.
  • Proficiency in MS Word, Excel, Adobe (Kofax), and document management systems.
  • Strong organizational skills with excellent attention to detail.
  • Strong written and verbal communication skills.
  • Ability to manage multiple priorities and meet deadlines in a fast‑paced environment.
  • Collaborative, team‑oriented approach.
  • Demonstrated professionalism and discretion in handling confidential information.

Nice To Haves

  • Experience with healthcare regulatory filings and compliance matters is a plus.
  • Familiarity with HIPAA, Stark Law, Anti‑Kickback Statute, and Medicare/Medicaid regulations is a plus.

Responsibilities

  • Assist with the preparation and filing of corporate documents, including UCC financing statements, articles of incorporation/organization, bylaws, operating agreements, and annual reports.
  • Support corporate attorneys on healthcare transactions, including mergers and acquisitions, joint ventures, affiliations, restructurings, and dissolutions, in compliance with applicable healthcare regulations.
  • Conduct due diligence for healthcare transactions, including review of business licenses, Medicare/Medicaid enrollment, Stark Law and Anti‑Kickback Statute compliance, and state‑specific licensing requirements.
  • Assist with healthcare entity formations, licensing, and regulatory filings with agencies such as the Department of Health, CMS, and state professional boards.
  • Coordinate with clients, attorneys, and regulatory agencies to ensure timely and accurate processing of filings and documents.
  • Maintain and organize corporate records, including minute books, stock certificates, professional entity records, and governance documents.
  • Prepare and review healthcare‑related agreements, including employment agreements, management services agreements, operating agreements, and business associate agreements (BAAs).
  • Conduct legal research and compile information related to healthcare compliance matters, including HIPAA, Stark Law, and Anti‑Kickback Statute regulations.
  • Manage data rooms, track transaction progress, and assist with closings for healthcare‑related deals.
  • Assist with client correspondence, notarizations, and document execution in accordance with state and federal requirements.
  • Utilize MS Office and document management systems for document preparation and case support.
  • Maintain filing systems and handle confidential information with professionalism and discretion.
