About The Position

SourcePro Search is conducting a search for an experienced Corporate Paralegal to join a top-rated international law firm in San Francisco. Candidates need at least 5 years of recent experience at a large law firm.

Requirements

• At least 5 years of recent experience at a large law firm
• Familiarity with DocuSign
• Proficiency in Carta and other cap table management tools
• Exceptional academic credentials
• Excellent drafting, writing, and analytical skills
• Meticulous attention to detail
• A high level of organizational aptitude
• Ability to manage multiple projects concurrently
• Strong verbal and interpersonal communication skills

Nice To Haves

• Experience in secured financing transactions and UCC filings is advantageous

Responsibilities

• General corporate work, including entity formation
• Drafting board and stockholder consents and meeting minutes
• Generating stock certificates
• Drafting documents for amendments, withdrawals, mergers, and dissolutions of corporations, partnerships, and LLCs
• Equity financings, encompassing LLC financings, venture capital financings, and proficiency in preparing and coordinating securities filings, such as Form ID, Form D, and state blue sky filings
• Mergers and acquisitions, including: overseeing data rooms and coordinating due diligence; creating and maintaining closing checklists; drafting board and stockholder consents; and managing signings and closings
• Experience in secured financing transactions and UCC filings
