About The Position

Sterlington PLLC is a full-service law firm focusing on complex corporate, litigation, executive compensation, and private wealth matters. The firm emphasizes both the economic and legal aspects of its cases. Sterlington is positioned as the premier law firm for founders, senior executives, and UHNWIs, as well as their related businesses. The role involves working directly with senior corporate partners who are Chambers USA-ranked practitioners trained at top institutions and M&A firms. The associate will have real responsibility from day one, representing buyers, sellers, and founders in M&A transactions ranging from $50M to $1B+. Responsibilities include joint venture structuring and negotiation, investment management and fund work (spinouts, rollups, manager combinations), finance, fintech, and crypto transactions, cybersecurity and data privacy deal-related issues, and tax-integrated deal structuring with a dedicated tax team. The work is commercially driven and practically focused, with an emphasis on active participation rather than prolonged diligence.

Requirements

  • Trained at an AmLaw 30 firm, ideally in a top-tier M&A or corporate practice
  • Law school prepared you for the most complex work in the market
  • 4–8 years of post-law school experience in corporate transactions
  • Meaningful exposure to joint ventures and a variety of deal structures
  • Commercially minded; understand the economics of a deal, not just the documentation
  • AI orientation: If AI has made you faster, smarter, and more valuable than your peers, we want to hear exactly how

Responsibilities

  • Representing buyers, sellers, and founders in M&A transactions valued from $50M to $1B+
  • Joint venture structuring and negotiation across a range of industries
  • Investment management and fund work; including spinouts, rollups, and manager combinations
  • Finance, fintech, and crypto transactions at the intersection of capital markets and emerging tech
  • Cybersecurity and data privacy deal-related issues
  • Tax-integrated deal structuring with our dedicated tax team embedded in every transaction
  • Leading diligence workstreams
  • Drafting and negotiating acquisition agreements
  • Managing deal timelines without constant supervision
