About The Position

Our Business Group has an excellent opportunity for a Corporate/M&A Paralegal in the Atlanta office. Our ideal candidate has experience supporting attorneys by performing routine and advanced tasks in a high-volume, complex, and productive practice. This position will support corporate, healthcare, and real estate attorneys in the Atlanta office, but may also work with business attorneys throughout the firm on a variety of matters and tasks.

Requirements

  • 5+ years of corporate/business paralegal experience, preferably in a law firm or corporate legal department
  • Bachelor’s degree preferred or Paralegal Certificate at a minimum; equivalent combination of education, training and experience may substitute for education requirement
  • Experience supporting transactional and finance matters required
  • High proficiency in grammar, proofreading, and transcription
  • Ability to apply common sense understanding to carry out instructions furnished in written, oral, or diagram form
  • Must exercise discretion with confidential and sensitive information and use good judgment while prioritizing needs of the clients and the firm
  • Strong organizational skills and attention to detail
  • Ability to define problems, collect data, establish facts and draw valid conclusions
  • Proficiency in Microsoft Office, Adobe Acrobat, DocuSign, document management systems, and time entry systems
  • Ability to communicate professionally, and manage multiple deadlines simultaneously

Responsibilities

  • Handles all aspects of the formation of entities, including preparing articles of incorporation/organization, bylaws, operating agreements, shareholders agreements, and other governing documents, stock/membership certificates, resolutions, “S” corp elections, SS-4 forms, and related documents.
  • Coordinates the filing of corporate and other documents with governmental agencies.
  • Assists with the preparation of legal documents such as contracts, stock and asset purchase agreements, transactional documents for mergers and acquisitions, assignments, bills of sale, stock transfer documents, closing certificates and other closing documents for review, approval, and use by attorney.
  • Maintains client corporate record books, and prepares all incorporation proceedings, qualifications, mergers and dissolution documents.
  • Handles our corporate maintenance program, including preparing annual board and shareholders resolutions, coordinating filing of annual reports and similar activities.
  • Conducts UCC, lien, judgment, pending suit, bankruptcy and other due diligence searches with, and orders corporate documents from, various county and state offices.
  • Performs due diligence review in connection with transactions, including reviewing contracts and results of due diligence searches.
  • Interacts with attorneys, clients, and outside parties on a regular basis regarding various legal matters.
  • Assists in coordinating closings including preparing critical dates memoranda, closing checklists, and closing documents, coordinating the delivery and execution of documents, and preparing closing binders.
  • Other duties as requested and assigned.
