About The Position

Intapp is seeking an attorney to help us execute on our growth. As the governed AI platform for professional firms in legal, accounting, consulting, private capital, and real assets, we're expanding — through new markets, new clients, and active M&A. This role spans subsidiary governance across a global footprint, hands-on M&A support from diligence through integration, and securities work for a NASDAQ-listed company on the move. You'll work across the business, close to the deals, and directly alongside leadership.

Requirements

  • Minimum 3 years of corporate and/or transactional experience at a law firm or in-house legal department
  • Attorney (bar member in good standing)
  • Proven ability to identify, prioritize and resolve issues quickly and independently
  • Practically minded with a sense of urgency to get things done
  • Effective at managing project expectations and managing escalations of high-sensitivity issues
  • Exceptional organizational, communication and prioritization skills
  • A team player who can work collaboratively and create strong relationships with a wide variety of people at all levels across the company; calm under pressure with empathy and humility

Nice To Haves

  • Experience counseling business with an international presence a plus

Responsibilities

  • Lead US and international subsidiary governance and management, including preparation of board meeting materials and minutes for subsidiary boards, drafting corporate resolutions, managing compliance with registration and filing requirements, engaging and managing registered agents and domiciliation providers, and formation and dissolution of subsidiaries.
  • Support treasury and banking matters, including account opening/closing documentation and related corporate authorizations.
  • Manage Intapp's signature policy, including delegations of authority and periodic updates.
  • Review engagement letters for accountants, auditors, consultants and other corporate service providers.
  • Review and negotiate NDAs in connection with M&A and strategic transactions.
  • Structure and perform legal diligence on potential acquisitions and investments.
  • Support drafting of definitive documentation in support of M&A and investment activity.
  • Assist in the management of outside counsel engaged for M&A and strategic transactions.
  • Manage and complete post-closing legal integration tasks.
  • Provide auxiliary securities support to Intapp's Assistant General Counsel, Corporate & Securities as availability allows, including coordinating with Intapp's transfer agent, D&O questionnaire administration and assisting with periodic filings.
