Requirements

Ability to run M&A deals independently.
Prior law firm experience is required.
Experience with PE-sponsored transactions.
Proficiency in drafting and negotiating agreements.
Comfortable working directly with clients.
Licensed to practice law in Missouri or Illinois.
Hands-on deal experience in corporate M&A and/or venture capital financings.
Experience with emerging growth or venture-backed companies.
Juris Doctor from an accredited law school.
Active bar admission in any U.S. state (firm covers NC bar costs).
Genuine, personable, and collaborative communication style.
Comfort working directly with partners on client matters.
Securities litigation experience at a high-caliber firm.
JD from an accredited law school.
Ability to analyze filings and stock price movements.
Experience using AI/data-driven tools for research.
Creative, intellectually curious, and asks probing questions.
Genuine interest in plaintiff-side work.
A bachelor's degree is required.
Litigation experience in complex class actions.
Excellent writing and proofreading skills.
Proficiency in e-discovery platforms.
Strong organizational skills and attention to detail.
Interest in plaintiff-side legal work.
Securities litigation experience in class actions.
Experience litigating full case lifecycles.
Exceptional legal brief writing ability.

Responsibilities

Run M&A deals end-to-end, from diligence through closing.
Draft and negotiate transactional documents.
Handle general corporate matters, client advisory.
Support private equity sponsors and portfolio companies.
Draft, negotiate, and close M&A transactions and venture capital financings.
Work directly with partners on client matters, gaining real responsibility.
Serve as outside general counsel for high-growth tech, biotech, and VC-backed companies.
Manage transactional due diligence, cap tables, and daily client communication.
Help emerging growth companies navigate fundraising rounds and complex transactions.
Evaluate potential securities cases for recommendation to clients.
Conduct in-depth investigations and analyze corporate disclosures.
Leverage AI and data-driven tools for case evaluation.
Prepare internal memos and client summaries for investors.
Collaborate with experts to assess liability theories.
Assist attorneys in all phases of litigation.
Conduct legal and factual research for cases.
Manage document review and e-discovery.
Help with marketing duties like RFPs.
Coordinate complex motion filings in courts.
Litigate securities class action cases from start to finish.
Draft compelling briefs, motions, and legal arguments.
Develop creative legal theories and case strategies.
Collaborate closely with partners on case direction.
Conduct legal research on evolving securities law.
