About The Position

The Contracts and Compliance Manager oversees the full lifecycle of company contracts—from drafting and negotiation through execution, monitoring, and close-out—to minimize legal and financial risk while ensuring all obligations are met. This role serves as a key liaison between internal teams such as legal, sales, technical, and operations, and external partners, managing contract requests, renewals, and compliance. The position also leads the development of contracting policies, templates, and playbooks, and supports implementation and optimization of Contract Lifecycle Management (CLM) tools to drive speed, visibility, and consistency across the organization.

Requirements

  • Bachelor’s degree in Business, Law, or a related field, or equivalent years of relevant experience.
  • 3–7+ years of experience in contract administration or contracts management.
  • Demonstrated ability to scrutinize, draft, and interpret complex legal and commercial contract terms.
  • Strong contract administration experience, including managing high-volume contracts and complex agreements.
  • Proven experience in procurement and contract management, including contract negotiation and administration.
  • Strong negotiation skills with the ability to secure favorable terms while maintaining constructive relationships.
  • Excellent interpersonal and communication skills to manage relationships with internal stakeholders and external partners.
  • High precision and attention to detail in identifying potential risks, deviations, or inconsistencies in contracts.
  • Familiarity with Contract Lifecycle Management (CLM) software and demonstrated experience using such tools.
  • Proficiency with contract management software and the Microsoft Office (MS) Suite.
  • Ability to work independently while effectively coordinating with multiple departments and external parties.
  • Strong leadership capabilities in driving contracting processes, policies, and cross-functional alignment.
  • Exceptional time management skills, with the ability to manage multiple contracts and deadlines simultaneously.
  • Solid understanding of the legal and financial aspects of contracts, including risk allocation and compliance requirements.
  • Experience in risk mitigation within contract structures, including commercial, financial, technical, and regulatory risks.

Nice To Haves

  • Advanced degree in Business, Law, or a related discipline.
  • Professional certification such as a Certified Commercial and Contract Management Associate or equivalent.
  • CCCM (Certified Commercial Contract Manager) certification.
  • Familiarity with battery technologies, including lithium-ion, LFP, and NMC, and energy storage system (ESS) architectures.
  • Experience working with hyperscale or colocation data center customers.
  • Hands-on experience with CLM systems such as Ironclad, Agiloft, or Coupa.
  • Knowledge of regulatory frameworks impacting energy storage systems, including environmental and safety regulations.
  • Demonstrated ability to build and maintain clause libraries, templates, and contracting playbooks.
  • Experience driving process improvements in contracting workflows to enhance speed, transparency, and compliance.

Responsibilities

  • Draft, review, negotiate, and execute a wide range of contracts, including vendor agreements, client contracts, and nondisclosure agreements, ensuring they align with business goals.
  • Identify, analyze, and mitigate potential legal, financial, technical, and performance risks in contracts across all contract types.
  • Ensure all parties adhere to contractual terms, obligations, and deadlines, including managing renewals, amendments, and contract close-outs.
  • Act as the primary point of contact for contracts, facilitating clear communication between internal departments and external partners.
  • Maintain organized, secure physical and digital records of all contracts, correspondence, and supporting documentation.
  • Prepare and present clear, concise contract status reports and risk summaries to senior leadership.
  • Ensure contracts align with performance guarantees such as capacity, degradation, and uptime commitments.
  • Align contracts with warranty frameworks, including cycle life, throughput, and calendar life requirements.
  • Ensure contracts accurately reflect service levels, including availability targets and response times.
  • Incorporate commissioning, acceptance testing, and operational milestones into contracts and monitor adherence to these milestones.
  • Establish, document, and enforce company-wide contracting policies, approval workflows, and authority levels.
  • Identify and mitigate commercial and financial exposure within contracts, ensuring balanced risk allocation.
  • Address technical and performance risks in collaboration with engineering and operations stakeholders.
  • Ensure contracts comply with applicable regulatory, environmental, and safety requirements, particularly relating to battery systems, transport, and disposal.
  • Drive consistency in key contractual terms, including liability, indemnity, insurance, data protection, and intellectual property provisions.
  • Partner with all departments to intake, triage, and prioritize contract requests in line with business needs.
  • Provide guidance to internal stakeholders on contract terms, negotiation strategies, and risk trade-offs.
  • Ensure contracts and deal structures remain aligned with company standards, policies, and strategic objectives.
  • Act as a bridge between technical, commercial, legal, and operational stakeholders to ensure contracts are practical, enforceable, and aligned with operational realities.
  • Develop and maintain standardized contract templates and clause libraries for use across all departments.
  • Create and refine contracting playbooks tailored to sales and customer agreements, vendor and procurement contracts, and corporate or administrative agreements.
  • Maintain a centralized contract repository and support the implementation, configuration, and ongoing use of CLM systems.
  • Drive continuous process improvements in contracting workflows to increase speed, visibility, and compliance across the organization.
  • Lead or support negotiations with third parties across diverse agreement types, balancing risk mitigation, business objectives, and speed of execution.
  • Ensure proper execution of contracts, including signatures, approvals, and documentation, and oversee post-signature obligations and compliance.
  • Support other non-contract-based projects as needed to maintain full-time workload, collaborating with cross-functional teams when required.
