About The Position

A premier AmLaw 50 firm is seeking a Compensation & Benefits (Qualified Plans) Senior Associate Attorney to join its Boston office. This opportunity is ideal for an attorney interested in advising public and private companies, private equity sponsors, boards of directors, and executive leadership on sophisticated ERISA, employee benefits, executive compensation, and transactional matters.

Requirements

  • 6+ years of employee benefits and executive compensation experience gained at a national or international law firm
  • Significant experience advising clients on tax-qualified retirement plans, health and welfare plans, and other employee benefit programs
  • Experience counseling clients regarding ERISA compliance, plan design, implementation, administration, fiduciary obligations, and ongoing regulatory requirements
  • Experience drafting and amending qualified retirement plans, health and welfare plans, summary plan descriptions, participant disclosures, and related employee benefit documentation
  • Experience advising on employee benefits and executive compensation issues arising in mergers, acquisitions, private equity transactions, financings, and other strategic corporate transactions
  • Experience handling IRS and Department of Labor filings, audits, compliance testing, voluntary correction programs, and regulatory matters
  • Strong drafting, analytical, communication, and client counseling skills
  • Ability to independently manage sophisticated employee benefits matters while maintaining significant client interaction
  • Excellent academic credentials from an ABA-accredited law school
  • Massachusetts bar admission required or ability to become admitted

Nice To Haves

  • Experience with ESOP transactions and ERISA plan rules is a plus

Responsibilities

  • Advising public and private companies, private equity sponsors, boards of directors, and executive leadership on sophisticated ERISA, employee benefits, executive compensation, and transactional matters.
  • Advising clients on tax-qualified retirement plans, health and welfare plans, and other employee benefit programs.
  • Counseling clients regarding ERISA compliance, plan design, implementation, administration, fiduciary obligations, and ongoing regulatory requirements.
  • Drafting and amending qualified retirement plans, health and welfare plans, summary plan descriptions, participant disclosures, and related employee benefit documentation.
  • Advising on employee benefits and executive compensation issues arising in mergers, acquisitions, private equity transactions, financings, and other strategic corporate transactions.
  • Handling IRS and Department of Labor filings, audits, compliance testing, voluntary correction programs, and regulatory matters.
  • Managing sophisticated employee benefits matters while maintaining significant client interaction.
