About The Position

Viktor is seeking its first dedicated legal hire, a Commercial Counsel, to manage all legal aspects of its business operations. This role involves hands-on work with commercial contracts under US law, specializing in AI-specific contracting, data protection, and managing external counsel for other legal matters. The Commercial Counsel will be responsible for reviewing, drafting, and negotiating agreements, ensuring practical data protection measures are implemented, and maintaining organized contract archives. The position reports to the CFO, with a preference for Warsaw-based candidates, though remote work within Europe is possible. The role requires strong commercial judgment, end-to-end ownership of legal matters, and excellent communication skills. It is a hands-on role focused on commercial contracts, not primarily corporate governance or delegation.

Requirements

  • Admitted to practice in a US state.
  • Hands-on experience drafting and negotiating US-law commercial contracts.
  • Commercial judgment: ability to distinguish material business risk from drafting preferences and propose workable alternatives.
  • End-to-end ownership of matters: negotiation, resolution, obligation tracking, administrative follow-through, and early escalation.
  • Ability to run the US-law core and coordinate other jurisdictions, especially the EU.
  • Precise written and spoken English.
  • Organized, discreet, and proactive approach.
  • Ability to ship work in the first week and talk to users on the first day.

Responsibilities

  • Review, draft and negotiate customer, supplier and partner agreements under US law, including SaaS terms, order forms, NDAs and DPAs.
  • Provide clear recommendations and remain involved until signature or resolution of agreements.
  • Own AI-specific contracting issues such as data use and training, output ownership, liability, and warranties.
  • Lead legal readiness for enterprise deals and diligence processes.
  • Maintain usable contract templates, negotiation positions, and an organized contract archive.
  • Own practical data-protection work, translating regulatory or specialist advice into actionable plans.
  • Manage external counsel, including briefs, budgets, and advice coordination for cross-border and specialist matters.
  • Support fundraising and corporate transactions, assisting Finance with record-keeping, approvals, filing deadlines, and authorities across US, Polish, and German entities.
  • Improve legal intake, drafting, and tracking processes using approved AI tools and human review.
