About The Position

Alembic is seeking a Commercial Counsel to own the company's commercial contracting end-to-end. This role reports to the Head of Corporate Legal and will be the primary point of contact for Sales, Finance, Partnerships, Security, and Infrastructure when legal support is needed for deals. The position offers the opportunity to build and shape the commercial legal function at a growing Series B company.

Requirements

  • JD and active membership in good standing of at least one US state bar (California preferred, or eligible to register as in-house counsel).
  • 5-9 years in commercial and technology transactions, with substantial in-house experience at a high-growth technology company.
  • Big-law training plus an in-house tour is the classic shape.
  • Track record negotiating enterprise SaaS and data agreements against Fortune 100 procurement and security teams unsupervised.
  • Fluency in data protection and security contracting: GDPR, CCPA, DPAs, sub-processor chains, security addenda.
  • Evidence of building process, not just closing deals.
  • Plain-spoken style; ability to clearly articulate risk to AEs and deliver direct answers to executives.

Nice To Haves

  • Experience with compute, colocation, data centre or hardware procurement agreements.
  • Experience with export controls.
  • Exposure to venture debt or equipment financing.
  • Experience selecting and rolling out a CLM.

Responsibilities

  • Own the enterprise deal desk, leading negotiation of master agreements, order forms, DPAs, security exhibits, and NDAs with Fortune 100 customers.
  • Serve as the single legal point of contact on all deals, ensuring timely closure.
  • Build the commercial contracting playbook, including creating templates, fallback positions, and escalation paths to enable Sales self-service.
  • Structure and negotiate reseller, co-sell, SI, and strategic alliance agreements.
  • Serve as legal lead on infrastructure agreements, including compute and capacity, colocation, hardware procurement, and data licensing.
  • Ensure supplier terms align with customer commitments.
  • Own the data-protection and AI-regulatory posture, including GDPR, CCPA, DPAs, sub-processor chains, and emerging AI regulations.
  • Partner with the Head of Corporate Legal on financing and strategic transactions, including diligence and contract work.
