About The Position

nCino is seeking an experienced transactional attorney to join our Legal team, with a primary focus on complex partner, technology, and vendor relationships within our growing global partner ecosystem. The ideal candidate will have experience negotiating sophisticated SaaS and technology transactions, a strong understanding of data privacy/security and intellectual property considerations, as well as excellent project management skills. In this role, you will partner closely with stakeholders across the company — including Product, Engineering, Finance/Accounting, Sales, Marketing, IT, InfoSec, and other operational teams — to support all 3rd party (partner and vendor) initiatives across the globe, ensuring alignment on technical, operational, commercial, and compliance considerations. This position offers the opportunity to take ownership of key initiatives and help scale legal support for nCino’s 3rd party programs.

Requirements

  • 4+ years of relevant transactional experience at a law firm and/or in-house legal department of a technology company, with demonstrated focus on negotiating complex commercial and technology agreements
  • J.D. from an ABA-accredited law school and active membership in good standing of a state bar
  • Strong experience working with SaaS and cloud services agreements, partner/reseller/channel arrangements, technology integrations and APIs, and vendor/supplier contracts
  • Working knowledge of data privacy and security concepts, intellectual property (e.g., licensing and ownership), and AI and emerging technology considerations
  • Ability to manage high-volume, fast-paced deal cycles with strong attention to detail and sound independent judgment
  • Excellent interpersonal and communication skills, with a client-service orientation toward internal teams
  • Strong project management and organizational skills with the ability to manage multiple competing priorities under deadline pressure with minimal supervision
  • Team-player mindset with flexibility to assist on broader commercial matters as needed

Nice To Haves

  • Experience supporting partner ecosystem or marketplace programs in a B2B SaaS environment
  • Experience with financial services or other regulated industries
  • Familiarity with GDPR, CCPA, and other global data privacy regulations, information security principles, data ownership/licensing, APIs, AI governance and emerging AI regulatory frameworks, and third-party risk management
  • Prior in-house experience at a high-growth SaaS company
  • Experience with Gen AI/Legal AI Tools (e.g., Claude, Chat-GPT, Harvey), Salesforce/other CRMs, and contract lifecycle management (CLM) tools (e.g., Ironclad)

Responsibilities

  • Negotiate, draft, analyze, and close complex partner and technology agreements including technology partner and integration agreements, solutions partner and channel agreements, reseller, referral and co-sell arrangements, product integration and API agreements, marketplace and ecosystem participation agreements, strategic alliance arrangements, and vendor/procurement agreements
  • Serve as primary legal counsel for nCino's global partner and ecosystem initiatives advising on deal structure, commercial risk, scalable program design
  • Lead negotiation and management of vendor and supplier contracts, including SaaS and cloud vendor agreements, professional services agreements/statements of work, technology licensing arrangements, data processing agreements, and security terms
  • Partner closely with internal stakeholders — including Accounting/Finance, Partnerships, Product/Engineering, Sales, Marketing, IT, and InfoSec — to align on all technical, operational, and business requirements for complex partner and vendor arrangements
  • Develop and maintain partner and vendor contract templates, playbooks, and negotiation guidelines to enable efficient, scalable deal execution
  • Drive improvements to contract lifecycle management, including intake, prioritization, and stakeholder communication
  • Lead or support cross-functional legal initiatives and operational improvements
  • Train internal teams on legal policies, legal best practices, and escalation procedures
  • Complete special projects as requested
