About The Position

Baton Corporation, the development company behind pump.fun, a leading Solana memecoin launchpad with significant daily volume and profitability, is seeking a Chief Legal Officer (CLO). This is a senior, newly created in-house position based in New York, NY, reporting directly to the General Counsel. The CLO will be the primary legal advisor for regulatory affairs, product counsel, corporate governance, and cross-border compliance. The role requires deep legal expertise, pragmatic commercial judgment, and the ability to operate effectively in a fast-paced, low-bureaucracy environment with high expectations.

Requirements

JD from an accredited US law school.
Admitted to the New York Bar or eligible for admission on motion.
10+ years of legal experience, combining top-tier law firm practice with in-house experience in crypto, fintech, payments, or regulated financial services.
Deep knowledge of US digital asset regulation (SEC/CFTC jurisdiction, FinCEN expectations, OFAC sanctions compliance).
Familiarity with international regulatory frameworks: UK FCA, EU MiCA, FATF standards, and at least one APAC regime.
Experience managing litigation, regulatory investigations, and enforcement actions.
Experience with GDPR/CCPA, AML/sanctions compliance, and consumer protection regulation.
Commercially sharp with the ability to provide clear, actionable advice.
Comfortable operating in ambiguity and making well-reasoned decisions.
High-agency and direct communication style.
Absolute discretion and commitment to confidentiality.

Responsibilities

Serve as the primary internal expert on US digital asset regulation (SEC, CFTC, FinCEN, OFAC), providing guidance to product, engineering, and commercial teams.
Manage the company's global regulatory posture in the UK (FCA), EU (MiCA/DORA), and APAC jurisdictions, identifying exposures and developing compliance frameworks.
Lead regulatory engagement, including responding to inquiries, managing investigations, and representing the company in proceedings.
Monitor legislative and regulatory developments globally and translate them into actionable recommendations.
Oversee AML/KYC program integrity in collaboration with the Head of Compliance.
Provide timely legal review for product launches, feature expansions, and go-to-market activities.
Draft, negotiate, and manage commercial contracts (partnerships, exchange listings, data/API agreements, vendor relationships, enterprise arrangements).
Advise on data privacy obligations (GDPR, CCPA) and consumer protection requirements.
Review marketing and promotional materials for regulatory compliance.
Advise on corporate governance and board matters for the UK parent entity and subsidiaries.
Lead the company's response to litigation, class actions, and law enforcement requests, managing outside counsel.
Oversee IP strategy, including trademark registration, brand protection, and global enforcement.
Manage cross-border corporate structuring matters.
Identify emerging legal risks and build scalable internal processes.
Manage and develop outside counsel panel relationships.
Contribute to building a world-class legal function.
