About The Position

Haynes and Boone’s Business Transaction Development Program is designed for college graduates interested in transactional law and who seek to gain a comprehensive understanding in that area. Our one to two-year, salaried program gives individuals an opportunity to collaborate with our lawyers to conduct research, prepare documentation, and facilitate the closing of a wide range of transactions. Throughout the program, individuals will engage with a variety of practice groups within the Firm and gain an in-depth understanding of the law. This position is a one to two-year assignment. Our attorneys will offer hands-on training, as well as online resources, in-person CLEs and smaller group training sessions. This non-exempt employee will work closely with partners and associates throughout all phases of corporate transactions. This structure will allow the business transaction intern to learn about how deals are put together, from the initial drafting of agreements to the final closing of the deal. In addition, the intern will assist with audit responses on behalf of the firm.

Requirements

  • Proficient in MS Office (Word and Excel).
  • Must have initiative to problem-solve.
  • Strong organizational and writing skills.
  • Attention to detail and strong research skills also are needed.
  • Must display excellent interpersonal and communication skills.
  • Must be able to prioritize work, take direction and meet deadlines.
  • A sense of urgency and an ability to efficiently manage time are required.
  • Should be self-motivated and a strong team player.
  • Bachelor’s degree with high academic standing.
  • Interest in attending law school.

Responsibilities

  • Work closely with partners, associates, and clients.
  • Play an active role in helping the Firm to provide our clients with legal services of the highest caliber.
  • Assists with document reviews, negotiation sessions, corporate filings, closings, and post-closing requirements.
  • Conducts research and prepare initial drafts of agreements.
  • Keeps track of, organizes, proofreads, files, and distributes documents related to corporate deals.
  • Draft and review audit response letters.
  • Attend internal meetings and interact directly with clients.
  • Interact with the accounting firms to coordinate deliver of the audit response letters.
  • Performs other related administrative duties as needed or assigned by corporate attorney supervisors.
