Associate General Counsel - Technology Products & Transactions
About The Position
Join TIAA's AI and Technology Law team to help shape the technology, data, and third-party relationships behind its products and business initiatives. This role combines strategic technology transactions with legal counseling on the technology, data, and third-party arrangements that support TIAA's businesses. The attorney will work with business counsel, AI and emerging technology counsel, and other subject-matter experts to contribute technology and data expertise to products, commercial relationships, and strategic initiatives. The position protects the organization's rights, obligations, and legal interests by providing legal direction and ensuring legal activities meet TIAA's current and future needs, with a focus on technology transactions and counseling. It calls for a lawyer who can understand how technology works and will be used, ask questions that inform the analysis, and translate business objectives into practical advice and well-structured agreements. Requirements
- Doctoral degree required.
- At least 5 years of experience drafting and negotiating commercial agreements, with significant experience in technology transactions.
- Strong judgment on legal and commercial issues arising in technology contracting.
- Ability and curiosity to ask questions, understand how technology works and will be used, and translate that understanding into contract terms.

- Experience with AI, data, digital products, or other emerging technologies.
- Financial services or other regulated-industry experience.
Responsibilities
- Advise on technology and data involved in business initiatives, including data rights and third-party dependencies in the development, offering, and use of digital products and services.
- Structure and negotiate strategic technology relationships, including SaaS, cloud services, software, data licensing and use, AI and emerging technology, implementation, professional services, and other technology and commercial arrangements.
- Understand how technology solutions work and will be used, and translate that understanding into deal structures and contractual terms that address risk, support operational needs, and preserve future options.
- Advise on intellectual property, data use, technology dependencies, service commitments, and liability, coordinating with privacy, cybersecurity, AI, and other specialists.
- Support business and M&A lawyers on technology and data aspects of acquisitions, investments, and other strategic transactions, including related third-party relationships and contracts.
- Collaborate with legal colleagues supporting strategic sourcing and with business, technology, sourcing, enterprise vendor management, risk, and compliance teams on technology procurement and broader commercial initiatives.
- Develop playbooks, templates, and contracting processes that make complex issues easier to navigate, including through thoughtful use of AI and legal technology.
