Assistant General Counsel, Transactions

Crux•Remote (w/ preference for DC or NYC), DC
•$220,000 - $270,000•Remote

About The Position

Crux is seeking a mid-level project finance lawyer to serve as the day-to-day transactional attorney across its investment and financing activity. The role covers tax equity and preferred equity investments, transferable tax credit purchases and forward commitments, debt facilities, and Crux’s corporate-level financings and strategic transactions. The attorney will manage transactions from term sheet through closing and post-closing administration, partner with Investments, Coverage, Debt Advisory, and Portfolio Management, and manage outside counsel where appropriate. The role also supports the General Counsel and Associate General Counsel on corporate matters. Crux Legal aims to improve each transaction by standardizing documents, developing playbooks and checklists, and building and using AI tools for diligence, drafting, closing, and portfolio management. The attorney will work across business and technical teams to develop and apply these tools on live transactions. This is a remote-first role in the U.S., with preference for New York or Washington, DC, and 5–10% travel for team offsites, transaction meetings, industry conferences, and in-person legal events.

Requirements

  • 3–6 years of transactional experience, with a significant portion in the projects, energy, or infrastructure finance practice of a leading law firm.
  • Hands-on experience with tax equity, transferable tax credit transactions, and debt financings for renewable energy and infrastructure projects; ability to draft from a term sheet, negotiate a full document set, and drive transactions to closing with limited supervision.
  • Working fluency in the federal energy tax credit framework, including Sections 45, 48, 45Y, 48E, 45X, and 6418, qualification, bonus adders, and recapture risk, and judgment to know when to involve tax counsel.
  • Demonstrated practical experience using AI in legal practice, including adoption or development of tools and workflows and the ability to describe what worked and what did not.
  • Ownership and judgment, including responsibility for outcomes, pragmatic risk-weighted decisions informed by business needs, and appropriate escalation.
  • Clear written and verbal communication with lawyers and non-lawyers, including the ability to explain complex structures in plain language and work effectively with counterparty counsel.
  • Ability to manage several transactions at once, build process where none exists, and work comfortably with pace and ambiguity.
  • JD and admission in good standing to the bar of at least one U.S. state, with eligibility for in-house registration where required.

Nice To Haves

  • In-house experience at a developer, investor, or lender.
  • Admission to the New York or DC bar.

Responsibilities

  • Conduct legal diligence and issue-spotting on project documents, tax credit qualification, insurance, and sponsor and counterparty matters; summarize risks and mitigants for investment committee materials.
  • Manage post-closing legal matters across the portfolio, including funding conditions, amendments, consents, waivers, and reporting obligations, in coordination with Portfolio Management.
  • Determine which work to handle in-house and which to assign to outside counsel; scope and supervise outside counsel work and manage fees proportionately.
  • Assist the General Counsel and Associate General Counsel with corporate financings, strategic transactions and joint ventures, entity formation and maintenance, corporate governance, regulatory matters, intellectual property, and commercial agreements.
  • Maintain and improve forms, playbooks, checklists, and closing sets, and identify and address inefficiencies in deal processes.
  • Work with legal innovation, operations, product, and engineering teams to develop and deploy AI tools for diligence review, drafting and comparison, and closing workflows; apply the tools to live transactions and refine them based on their effectiveness.
  • Partner with Investments, Coverage, Debt Advisory, and Portfolio Management on deal discussions, translate legal issues into commercial terms, and help the business make well-informed decisions.
  • Identify regulatory considerations involving Crux’s broker-dealer and investment adviser affiliates and escalate them to the General Counsel and Compliance as appropriate.
