About The Position

Absorb is seeking a Commercial Counsel to support complex SaaS and technology transactions. The role partners with Sales, Product, Finance, Privacy, Security, and other teams to negotiate agreements, resolve commercial challenges, and provide practical guidance that helps the business move forward. It also supports contracting for AI-enabled products and services and may help shape the company’s approach to emerging AI contracting issues.

The Commercial Counsel manages a broad range of commercial agreements and negotiations, advises on legal and commercial risks, and contributes to templates, playbooks, and contracting processes. The role may also support international transactions and jurisdiction-specific requirements. The position is fully remote-first, with flexible work arrangements.

Requirements

• Juris Doctor (J.D.) or equivalent law degree.
• Active admission to practice law in at least one jurisdiction.
• Minimum 5 years of relevant commercial and technology transactional legal experience, including substantial hands-on negotiation of B2B SaaS and enterprise software agreements.
• Strong commercial judgment, contract drafting and negotiation skills, and working knowledge of technology licensing, intellectual property, privacy, and information security matters.
• Ability to work independently, prioritize competing deadlines, and collaborate effectively with cross-functional business teams.

Nice To Haves

• Experience with AI or generative AI contracting.
• Experience with global or cross-border commercial negotiations.

Responsibilities

• Negotiate commercial contracts, including NDAs, data processing agreements, vendor and procurement contracts, technology partnerships, reseller and distribution agreements, software licenses, order forms, statements of work, service level agreements, and professional services agreements.
• Advise on indemnities, limitations of liability, warranties, intellectual property rights, data usage, confidentiality, privacy and information security obligations, payment terms, and termination rights.
• Partner with Sales, Product, Finance, Procurement, Privacy, and Security to structure practical solutions and support timely deal closure.
• Independently manage concurrent negotiations, assess and escalate material legal and commercial risks, and provide clear, actionable guidance to business stakeholders.
• Support contracting for AI-enabled products and services, including issues relating to data use, model training, output rights, and allocation of risk.
• Collaborate on international transactions and jurisdiction-specific contracting requirements when needed.
• Develop and improve standard agreement templates, negotiation playbooks, fallback positions, and contract processes.
