About The Position

Support domestic and international tax planning initiatives within the Tax Organization, including (i) performing technical analysis, (ii) preparing tax planning presentations, (iii) modeling the tax impacts and supporting the implementation of tax planning initiatives, (iv) drafting intercompany agreements, and (v) working with tax operations on the accounting and reporting implications of tax planning initiatives. Considering the strategic relevance of business development structuring and supporting business development transactions will be your main area of focus. Tax Organization liaison with (i) Business Development; (ii) Accounting, and (iii) Finance, each as further described below. Business Development: (i) Manage tax due diligence related to mergers and acquisitions, including coordination with internal stakeholders and external advisors, (ii) review and determine optimal structure for various business development transactions, including acquisitions, dispositions, joint ventures and collaborations, working with the BD group and internal and external legal representatives, (iii) advise on tax matters related to integration activities, including coordination with the broader Finance department and the Integration Management Office, and (iv) provide support for the preparation and review of legal documents related to business development and integration transactions. Accounting: Coordinate with Accounting on the accounting impacts of mergers and acquisitions and internal tax planning initiatives. Finance: Provide tax support for deal valuations and financial analyses, supply chain financial flows, and Treasury decisions regarding transaction financing and intercompany cash management.

Requirements

  • Bachelor’s degree.
  • JD or LLM preferred.
  • 5 to 8+ years of combined public accounting, law firm and corporate tax experience.
  • Experience in mergers and acquisitions, including managing tax due diligence and structuring of acquisitions, dispositions, and restructurings.
  • Experience in domestic and international tax planning, including Subpart F and GILTI planning.
