Assistant General Counsel - Structured Products
About The Position
The U.S. Bank Law Division is seeking an experienced attorney to join the Public Company and Securities Legal Team. This attorney will support the Fixed Income Markets Funding team and will be the primary attorney responsible for the structured products program. The position offers candidates the opportunity to support a new and growing business (both in terms of volume and product offerings), while working with various departments and individuals at U.S. Bank. Requirements
- Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority.
- At least 6 to 10 years of material, relevant experience as an attorney in a law firm and/or as in-house counsel supporting structured products transactions.
- Experience supporting and providing legal guidance relating to debt capital markets and/or structured finance transactions.
- Advanced knowledge and experience with securities, broker-dealer regulation, and other pertinent laws and regulations, including the 33 Act and 34 Act, the 40 Act, the Dodd-Frank Act (including the Volcker Rule), and some familiarity with cross border issues and dealing in foreign jurisdictions.
- Excellent analytical, decision-making and problem-solving skills.

- Ability to collaborate confidently and effectively with a diverse range of stakeholders, including senior leaders.
- Ability to assess risks and provide thoughtful advice in a fast-paced environment.
Nice To Haves
- Demonstrated recent experience providing guidance on structured product transactions, including structured and equity-linked notes and certificates of deposits (linked to reference assets such as stocks, ETFs and indices)
- Negotiating master selected dealer agreements (MSDAs), distribution agreements and electronic platform agreements
- Advising on know-your-distributor (KYD) and new product processes and policies.
Responsibilities
- Provide expert legal guidance and support to the fixed income markets funding team, specifically in the area of the offering, sale and distribution of structured products
- Draft, review, and negotiate legal documents related to structured products transactions, including contracts, agreements, policies and disclosures.
- Identify and assess potential legal risks and provide strategic advice to mitigate or resolve issues.
- Serve as a senior member of the legal team, utilizing extensive knowledge and experience to advise on complex structured products transactions, including establishing new and novel product templates and structures.
- Effectively communicate with external law firms, peer institutions, vendors, and other third parties.
- Advise business units and other support partners (Compliance, Risk Management, etc.) regarding securities laws and regulations, SEC/FINRA Rules and related risks.
- Stay abreast of relevant structured product market, legal and regulatory developments.
- Assist in training business units regarding legal risks and regulatory changes, including advising on regulatory change projects relating to structured product offerings.
- Become familiar with relevant U.S. Bank policies and procedures, including AML, KYD and other onboarding procedures.
- Work closely with business lines and support partners to ensure continuous compliance with laws, regulations and policies.
- Advise on debt capital market transactions, including unregistered transactions, and secondary trading matters.
- Advise on hedging transactions related to structured product offerings.
- Participate in trade group working groups on relevant matters
