About The Position

The Analyst will report into the Director of Practice Management for the M&A group and work under the direction of partners in the Shareholder Engagement and Activism Defense practice. The Analyst will help support partners in advising public company boards and management teams on shareholder activism, proxy contests, shareholder engagement, corporate governance matters, contested M&A situations, and other special situations.

Requirements

  • Bachelor’s Degree Required
  • At least 1-2 years of previous experience
  • Strong interest in shareholder activism, corporate governance, M&A, and public company advisory work.
  • Excellent analytical, research, writing, and presentation skills.
  • Ability to synthesize complex legal, financial, and governance issues into concise, actionable recommendations.
  • Strong attention to detail and ability to manage multiple time-sensitive projects.
  • Proficiency with Bloomberg

Nice To Haves

  • A degree in Finance, Economics, Business Administration, or a related field preferred
  • Experience in investment banking, shareholder advisory, corporate governance, legal, consulting, or related fields preferred.

Responsibilities

  • Create, maintain and review complex materials and analyses relating to shareholder activism, corporate governance and trading activity
  • Provide strategic input to issuers on contested M&A situations, capital market considerations and investor relations
  • Prepare corporate clients for potential activist shareholder engagement through corporate preparedness assignments
  • Develop proprietary knowledge and insights into trading activity and capital markets monitoring for clients
  • Monitor and stay abreast of relevant trends and regulatory developments
  • Work closely with the group partners to establish ongoing processes and procedures
