About The Position

We are seeking an experienced, business-minded Vice President, Senior Associate General Counsel to lead the legal function across the United States and Canada. This executive leadership role will serve as a strategic advisor to senior leadership while overseeing a broad range of legal matters, including commercial contracting, employment law, litigation management, privacy, regulatory compliance, and corporate risk. The ideal candidate is a proven legal leader with deep SaaS or technology industry experience, exceptional commercial contracting expertise, and a demonstrated ability to build, lead, and develop high-performing teams. This individual will play a critical role in enabling business growth while ensuring appropriate legal and regulatory risk management across the North American region. This role is highly visible within the organization and requires an executive capable of influencing stakeholders, developing talent, and serving as a trusted partner to senior leadership. This individual will be a visible ambassador for the Company, representing the organization to employees, clients, partners, regulators, and the wider legal community.

Requirements

  • Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
  • 10+ years of progressive legal experience, including significant in-house experience within a SaaS, software, or technology company, with demonstrable expert understanding of the PropTech, Real Estate Technology, or broader enterprise software industry.
  • Demonstrated people leadership experience, including mentoring and developing legal teams.
  • Extensive experience negotiating and drafting complex commercial and technology agreements.
  • Strong background in contract law, employment law, privacy, and litigation management.
  • Experience partnering directly with executive leadership and business stakeholders.
  • Excellent communication, negotiation, judgment, and relationship-building skills.

  • Experience supporting high-growth, acquisition-oriented technology organizations.
  • Familiarity with privacy frameworks and cybersecurity regulations affecting North American businesses.
  • Prior experience as Associate General Counsel, Deputy General Counsel, Head of Legal, or similar senior leadership role.

Responsibilities

  • Direct and execute the North American legal function and contribute to the overall strategic direction of the global legal organization.
  • Manage, mentor, and develop legal professionals, including direct oversight of the legal team members.
  • Foster a high-performance culture focused on collaboration, accountability, and business partnership.
  • Serve as a trusted advisor to executive leadership on legal, compliance, and business strategy matters.
  • Build strong cross-functional partnerships with Sales, Customer Success, Product, Engineering, Finance, HR, Security, and Corporate Development teams.
  • Lead negotiations involving complex commercial agreements, including: SaaS and software licensing agreements, Master Services Agreements (MSAs), Enterprise customer agreements, Data Processing Agreements (DPAs), Partner, reseller, and channel agreements, Procurement and vendor contracts, Professional services agreements.
  • Develop scalable contracting strategies, templates, and processes that support business growth while managing risk.
  • Provide practical, business-focused legal advice to commercial teams and executive leadership.
  • Advise HR and business leaders on employment law matters across North America.
  • Provide guidance regarding employee relations, workplace investigations, terminations, accommodations, leave administration, restrictive covenants, and policy development.
  • Support organizational growth initiatives, workforce planning, and M&A-related employment matters.
  • Provide strategic oversight for privacy and data protection matters, including regulatory compliance and incident response.
  • Partner with Information Security and Compliance teams on privacy, cybersecurity, and risk management initiatives.
  • Monitor legal and regulatory developments impacting the business and advise leaders on required actions.
  • Oversee litigation, pre-litigation disputes, demand letters, government inquiries, and employment claims.
  • Manage outside counsel relationships and legal budgets.
  • Develop risk mitigation strategies and provide business-oriented recommendations to senior leadership.
  • Support internal investigations and resolution of complex legal disputes.
