About The Position

Nscale is seeking a Vice President, Legal, Debt Capital Markets with a strong background in complex asset and project financing transactions. The role involves leading the legal execution of debt financings, project finance, asset finance, and other strategic funding arrangements. The ideal candidate will be adept at problem-solving complex legal and commercial matters with ambiguity, navigating cross-jurisdictional financing, lender negotiations, and sophisticated financing structures. They should be comfortable balancing legal risk with commercial objectives, providing pragmatic advice, and influencing without authority. Exceptional project management skills are required to lead complex transactions from inception to completion, managing documentation, due diligence, negotiations, approvals, and closing. The role demands an ability to understand complex financial considerations, identify issues in finance and collateral documentation, provide portfolio structuring and compliance advice, and advise on the bankability of underlying offtake contracts. Experience in digital infrastructure financing, particularly data center project financing and/or AI hardware procurement financing, is highly desirable. Experience with various group debt financing processes, including revolving credit facilities, bilateral facilities, European & US bonds, convertible bonds, convertible debt, structured equity, and financial security packages is also expected. The candidate should be a hands-on, organized, proactive, and resilient legal professional capable of performing under pressure in a rapidly shifting environment with multiple concurrent transactions. This role offers the opportunity to contribute to building Nscale's in-house financing capability within a lean, high-performing legal team supporting significant financing transactions in the AI infrastructure sector.

Requirements

10+ years of experience in top-tier law firms, financial institutions, and/or in-house legal roles.
Strong foundation in complex asset and project financing transactions.
Demonstrated experience leading the legal execution of debt financings, project finance, asset finance, and other strategic funding arrangements.
Comfortable problem-solving and making decisions on complex legal and commercial matters with high levels of ambiguity.
Ability to effectively navigate cross-jurisdictional financing arrangements, lender negotiations, and sophisticated financing structures.
Confident balancing legal risk with commercial objectives and providing pragmatic advice.
Comfortable influencing without authority and exceptional at building relationships with senior stakeholders.
Exceptional project manager who thrives on leading complex transactions from end to end.
Ability to understand complex financial considerations quickly, including issue spotting finance and collateral documentation.
Experience leading or working as a senior advisor on digital infrastructure financing (preferably, data centre project financing and/or AI hardware procurement financing).
Experience on various group debt financing processes spanning numerous financial instruments, including revolving credit facilities, bilateral facilities, European & US bonds, convertible bonds, convertible debt and structured equity and financial security packages.
Highly organized, proactive, and resilient, with the ability to remain calm under pressure and deliver consistently in an environment where priorities can shift rapidly.
Curious, quick to learn and excited by the opportunity to help build Nscale's in-house financing capability.
Strong attention to detail with a focus on holistic, entrepreneurial and fast-paced decision-making and work productivity.
Significant experience in complex corporate cross-jurisdictional transactions, including debt and equity fundraising, capital markets, venture debt, securitisation and corporate governance with an understanding of cross-border regulatory and structuring considerations.
Robust internal and external stakeholder management and communications skills, with the ability to influence and advise senior business leaders and collaborate effectively across cross-functional teams.
Experience relevant for, and motivation to participate in, a growing legal function in a busy and exciting business.
Comfortable working in a fast-paced, high-growth environment.

Responsibilities

Lead the legal execution of Nscale's financing transactions, supporting project finance, asset finance, and other strategic funding initiatives.
Manage financing transactions from inception through financial close, coordinating legal workstreams, negotiating documentation, and driving execution.
Advise on financing structures, funding solutions, and transaction strategy, supporting complex cross-border financings.
Take ownership of transaction management, coordinating multiple concurrent financing processes, overseeing due diligence, and managing timelines.
Build trusted relationships across the business, providing pragmatic legal advice, identifying risks, and supporting commercial decision-making.
Instruct and manage external legal advisers and specialist consultants globally.
Proactively identify legal, commercial, and operational risks, helping to develop scalable financing processes and improve governance.
Contribute to the development of Nscale's in-house financing capability and support complex transactions.
