About The Position

Shutterfly is looking for a General Counsel who will serve as the lead attorney for all Shutterfly brands by providing legal guidance and strategic counsel to the company's senior leadership team. This role requires a dynamic leader with extensive legal expertise, strategic acumen, and a deep understanding of the legal landscape in which we operate. You will play a pivotal role in shaping our corporate strategy, protecting our interests, and ensuring compliance with relevant laws and regulations. Overall responsibilities include providing guidance and counsel to the executive team on matters involving compliance, contracts, labor law, debt and equity securities, M&A, and real estate, as well as reviewing and drafting internal and external legal agreements, negotiating transactions, and managing contracts to ensure legal compliance. Reporting to the CFO (who also has responsibility for Finance, Procurement, and Supply Chain), the successful candidate will possess experience leading a corporate legal function and managing external partners to support the company's overall business objectives quickly and efficiently.

Requirements

Experience with a multi-dimensional business that includes areas such as eCommerce, field sales, heavy operations, and deep marketing expertise.
Experience advising CEOs, Boards of Directors, and senior leadership teams.
Strong understanding of corporate governance principles, regulatory compliance, and risk management strategies.
Ability to multi-task and flexibly manage changing priorities and projects under time constraints.
Proven leadership experience with a track record of building and leading high-performing legal teams.
Strong negotiation, communication, and interpersonal skills, with the ability to influence and collaborate at all levels of the organization.
Strategic thinker with excellent problem-solving abilities and sound judgment.
Personal tenacity with the ability to seek out opportunities and propose solutions.
High emotional intelligence.
Juris Doctor (J.D.) degree from an accredited law school.
Minimum of 15 years of progressive legal experience, with extensive experience in corporate and commercial law, preferably within the consumer industry.
Significant experience in eCommerce, consumer products, digital platforms, marketing, privacy, and intellectual property.

Responsibilities

Serves as a key strategic advisor to the CEO, CFO, Executive Leadership Team, Board of Directors, and shareholders on matters impacting corporate strategy, risk, governance, financing, acquisitions, and enterprise value creation.
Develop and implement a comprehensive legal strategy aligned with Shutterfly's overall business objectives.
Provide visionary leadership and guidance to the legal team, empowering them to deliver exceptional results and support to the organization.
Collaborate with internal stakeholders across Finance, Strategic Partnerships, Human Resources, Operations, Marketing, and other business functions.
Oversee all corporate governance matters, ensuring compliance with applicable laws, regulations, and best practices.
Demonstrate a strong understanding of international laws and the ability to operate across multiple jurisdictions.
Lead efforts to enhance corporate governance structures and processes to support the company's growth and sustainability.
Lead legal support for mergers, acquisitions, divestitures, joint ventures, strategic investments, and financing transactions.
Partner with Finance and Executive Leadership on transaction structuring, due diligence, negotiation, and integration activities.
Support corporate restructuring and business transformation initiatives.
Identify, assess, and mitigate legal risks across all aspects of the business, proactively implementing strategies to protect the company's interests.
Collaborate with other departments to develop and implement risk management protocols and procedures.
Provide strategic direction and oversight for contract negotiation and management activities, ensuring alignment with business objectives and risk tolerance.
Review and negotiate complex agreements, including vendor contracts, licensing agreements, and strategic partnerships.
Develop and implement strategies to safeguard the company's intellectual property rights, including patents, trademarks, copyrights, and trade secrets.
Manage intellectual property portfolios and enforce rights against infringement and unauthorized use.
Oversee legal aspects of data privacy, cybersecurity, consumer data protection, and digital marketing compliance.
Advise leadership on emerging regulations related to artificial intelligence, machine learning, and automated decision-making.
Partner with Information Security and Technology leadership on cyber incident preparedness and response.
Ensure compliance with global privacy regulations and data transfer requirements.
Provide legal guidance on employment-related matters, including contracts, policies, and disputes.
Direct all litigation and dispute resolution efforts, working closely with external counsel and internal stakeholders to achieve favorable outcomes.
Develop proactive strategies to minimize litigation risk and resolve disputes efficiently and cost-effectively.
Oversee consumer protection, advertising, marketing, promotions, subscription, and eCommerce compliance matters.
Advise business leaders on product claims, pricing, customer communications, and evolving consumer regulations.
Ensure compliance with domestic and international eCommerce regulations.
