THE IMPACT YOU CAN HAVE: Reporting directly to the Chief Legal Officer, the Vice President, Assistant General Counsel serves as a senior legal and business advisor to executive leadership, leading a high‑performing team responsible for complex commercial, regulatory, and strategic legal matters across the U.S. and select international markets. This role delivers enterprise‑focused legal solutions that enable growth, innovation, and operational excellence. The VP AGC oversees major commercial transactions, cross-border initiatives, digital and technology matters, regulatory compliance, and enterprise‑wide legal policies—ensuring Ulta Beauty’s strategic ambitions are supported by sound, forward-looking legal frameworks.

Requirements

  • Juris Doctor (JD) with an active U.S. law license.
  • At least 15 years of experience leading complex commercial transactions in a Fortune 500 environment or at a large national law firm.
  • Extensive expertise in retail and consumer packaged goods, including consumer protection, privacy, intellectual property, and competition laws.
  • Strong consultative skills, providing practical counsel across supply chain, procurement, marketing, technology, and enterprise operations.
  • Ability to anticipate regulatory changes and prepare the company for compliance.
  • Ability to lead and inspire high-performing legal teams in fast-paced, high-growth settings.
  • Strategic thinker with a record of advancing cost control, operational excellence, and scalable legal processes.
  • Exceptional relationship-building and influencing abilities across all levels of the organization.
  • Outstanding leadership presence and excellent written and verbal communication.

Responsibilities

  • Lead, mentor, and develop a business oriented legal team, aligning resources to support complex transactions, regulatory compliance, and cross functional initiatives.
  • Lead the drafting, negotiation, and execution of sophisticated commercial agreements, including vendor arrangements, supply chain partnerships, licensing agreements, and long term strategic alliances spanning domestic and international markets.
  • Oversee legal aspects of technology procurement, digital commerce initiatives, omni channel capabilities, and enterprise data solutions.
  • Ensure compliance with global privacy, cybersecurity, data governance, and digital platform regulations, enabling responsible innovation at scale.
  • Provide legal oversight for marketing, advertising, promotional activities, and product related communications across multiple jurisdictions.
  • Evaluate regulatory requirements related to labeling, claims, endorsements, brand collaborations, and evolving digital marketing standards.
  • Advise on consumer protection, competition, intellectual property, and other regulatory frameworks shaping the retail and consumer packaged goods sectors.
  • Conduct compliance reviews and due diligence for new business initiatives, international expansion, e commerce platform enhancements, and emerging strategic ventures.
  • Provide counsel on multi jurisdictional partnerships, cross border deals, and complex commercial structures that support Ulta Beauty’s evolving business models.
  • Develop, implement, and continuously modernize legal policies, contracting standards, operating procedures, and training programs to support consistency, scalability, and operational excellence across the enterprise.
  • Serve as an influential voice in enterprise decision making, governance forums, and long range planning initiatives.
  • Uphold cost discipline, risk balanced decision making, and operational rigor aligned with Ulta Beauty’s strategic priorities.
