About The Position

The Deputy General Counsel & Assistant Secretary (DGC) is a member of the Company's management team, responsible for leading the company’s corporate transactions and corporate governance functions in close partnership with the Chief Legal & Human Resources Officer (CLHRO). This high-impact position serves as Assistant Corporate Secretary to Pep Boys and its subsidiaries, ensures strong corporate governance and compliance frameworks, and provides strategic legal counsel to the CLHRO, CEO and ELT. Working in close coordination with the CLHRO and other members of the management team, the DGC aligns legal strategy with business objectives, protects enterprise value, and enables sustainable growth through disciplined, business-focused legal leadership.

Requirements

  • Doctorate of Law coupled with 10-15 years of experience
  • Admitted to practice law, and in good standing in, at least one U.S. jurisdiction.
  • Ability to operate as an internal resource for our Associate General Counsel - Corporate and Compliance on all contract related matters
  • Demonstrated strength in corporate governance, M&A, commercial transactions, and compliance.
  • Demonstrated ability to establish successful business relationships and think in practical, solution-oriented and commercial ways.
  • Demonstrated ability to successfully negotiate business agreements and to resolve disputes with business partners.
  • Demonstrated ability to conceptualize and analyze multiple scenarios in solving broadly defined or complex business problems.
  • Demonstrated ability to effectively communicate complex messages to diverse audiences at all organization levels.
  • Demonstrated ability to maintain a comprehensive contract management system to track contract status, renewal dates, and key terms.
  • Capacity to analyze legal issues, identify potential risks, and develop strategic solutions.
  • Has strong organizational skills and the ability to prioritize multiple tasks effectively.
  • Proven ability to use computer software and applications, including Microsoft Office, Teams, and Excel to share, retrieve, research and present business and legal information.

Responsibilities

  • Serves as a key legal and strategic advisor to the CLHRO and management. Collaborates closely with the CLHRO and members of the legal team and management to integrate legal and compliance priorities with company strategy, operations and culture. Builds trusted relationships with the senior management and business leaders to facilitate sound decision-making and enterprise resilience.
  • Serves as Assistant Corporate Secretary for Icahn Automotive Group and Pep Boys, and their subsidiaries. Manages all governance activities, including resolutions and subsidiary compliance filings. Partners with the ELT on board submissions and ensures alignment with corporate governance best practices. Oversees corporate entity management, records, charters and certifications across all jurisdictions. Advises on governance standards and corporate procedures to ensure compliance and transparency.
  • In partnership with the CLHRO, helps to lead and develop a high-performing legal team spanning litigation, real estate, employment, contracts, and compliance. Assists with department administration, including budgeting, staffing, outside counsel management, professional development and performance management. Implements best-in-class legal operations — matter management, e-billing, metrics tracking and knowledge management systems. Works to establishes clear KPIs and accountability metrics to measure departmental performance and efficiency. Promotes a culture of teamwork, transparency and continuous improvement within the legal department.
  • Oversees enterprise-wide compliance and ethics programs, including anti-bribery/FCPA and others. Collaborates with the CLHRO and management to maintain a culture of integrity, compliance, and ethical leadership. Ensures compliance with applicable laws, regulations and internal policies through proactive oversight and education.
  • Leads legal strategy and execution for mergers, acquisitions, divestitures, internal reorganizations and other corporate transactions. Manages due diligence, transaction structuring, negotiation, and post-closing integration. Serves as a resource for internal contracts team, and helps to ensure compliance with corporate policies and procedures.
  • Coordinates with AGC - Real Estate on real estate legal matters including acquisitions, leasing, construction, environmental and zoning issues. Oversees IP portfolio with the assistance of external counsel and internal team.
  • Provides practical, solution-oriented advice on a broad range of business issues, including marketing, IP, consumer protection, data privacy, insurance, franchise, regulatory matters and others. Anticipates emerging legal and regulatory risks; develops mitigation strategies and ensures operational readiness. Supports enterprise initiatives that strengthen governance, compliance and corporate reputation.
