About The Position

Commonwealth Fusion Systems (CFS) is seeking a Vice President, Capital Markets & Investor Relations to lead investor relations and manage equity-based capital formation. This role is crucial for executing equity financing for the company's first fusion power plants, managing relationships with sophisticated investors, and building the necessary investor-facing infrastructure. CFS is looking for a strategic individual to help determine and execute the optimal capital raising path, which may include private equity, strategic and sovereign investment, project-level financing, and potentially public markets. The role involves owning the raise process, investor artifacts, and the investor base, working closely with the CFO on capital strategy and the SVP, Corporate Development on the company narrative. The position reports directly to the CFO, will present to investors alongside the CEO and CFO, and will build and lead a team.

Requirements

  • Bachelor’s degree in finance, economics, business, engineering, science, or a related field.
  • Deep relevant professional experience, including significant time in a senior investor-facing role presenting a technical, content-rich story.
  • A track record in either public company investor relations (owning the IR function, managing shareholder base, sell-side relationships, carrying an equity story through market cycles) OR in-house capital markets/corporate finance (leading capital raising, raising billions across various capital types).
  • Demonstrated ability to build an investment narrative from first principles for a business dependent on future technical milestones.
  • Exceptional written and verbal communication skills; willingness to author documents personally.
  • High tolerance for ambiguity and comfort operating in a fast-moving environment where plans are developed during execution.
  • Structural fluency in capital stacks sufficient to explain and defend them unaccompanied.
  • Judgment and discretion in handling material non-public and export-controlled information.
  • Perform activities such as typing, standing, or sitting for extended periods of time.
  • Willingness to travel or work required nights/weekends/on-call occasionally.
  • Ability to work in a facility with industrial hazards including heat, cold, noise, fumes, strong magnets, lead (Pb), high voltage, high current, pressure systems, and cryogenics.
  • Compliance with U.S. laws concerning the export of controlled or protected technologies or information.

  • Advisory experience (investment banking, capital markets, or sell-side research).
  • A network of demonstrated deep relationships with a broad array of investors across categories and geographies.
  • Presence and credibility with senior institutional investors, executives, and boards.
  • Sector experience in capital-intensive first-of-a-kind technology or category-creating companies.
  • Technical aptitude and curiosity about fusion, sufficient to explain and defend it under pressure.
  • Ability to run a capital raise substantially in-house, without depending on a full banker syndicate.
  • Experience with project finance or infrastructure capital.
  • Experience preparing a private company for public-company readiness (reporting, disclosure controls, S-1 process).
  • Experience building an investor relations or capital markets function from the ground up.

Responsibilities

  • Own equity raise processes, including investor targeting, materials preparation, management meetings, and diligence across various capital types (growth equity, strategic, sovereign, infrastructure, public crossover).
  • Manage all investor-facing artifacts, such as the master deck, one-pager, investor updates, diligence pack, and virtual data room, ensuring consistency with the master narrative.
  • Communicate the equity story to the market, defend it under questioning, and provide market feedback to refine the narrative, with support from scientific and engineering SMEs.
  • Develop and maintain responses to key investor questions regarding timelines, costs, schedules, competitive landscape, and fusion's role in clean energy.
  • Maintain a comprehensive map of the capital landscape, including sovereigns, public crossover, private venture, infrastructure, pensions, and high-net-worth investors across key geographies.
  • Proactively cultivate new anchor investors through non-deal roadshows, conference presence, and a ranked pipeline.
  • Manage the existing shareholder base through ongoing communications and milestone updates, ensuring information rights are respected and gathering demand signals for future financings.
  • Integrate market insights into capital strategy to ensure company decisions on capital structure, sequencing, and pricing are informed by accurate market reads.
  • Establish the investor relations function by building systems for CRM, a segmented target universe, a materials library, and a staged virtual data room.
  • Recruit, develop, and manage an in-house team, and select and manage external investor relations advisors.
  • Provide structuring judgment to explain and defend the capital stack in investor meetings and identify market acceptance issues.
  • Author and operate disclosure discipline, including owning the milestone disclosure policy with Legal and controlling the cadence, consistency, and updates for long-term credibility.
  • Collaborate with Corporate Development, Legal, Communications, Global Affairs, and Commercial teams to ensure the investor story is accurate, consistent, and defensible.
