About The Position

We are sharing a specialised part-time consulting opportunity for UK-based legal professionals experienced in US finance, private equity transactions, cross-border M&A, leveraged buyouts, fund formation, regulatory filings, deal structuring, and sophisticated legal scenario review. This role supports current and upcoming remote consulting opportunities focused on legal scenario design, finance transaction analysis, private equity and M&A reasoning, deal documentation review, structured legal evaluation, and high-quality project execution. Selected professionals will help create, review, and simulate realistic legal scenarios involving international finance transactions and complex deal workflows.

Requirements

  • Current location in the United Kingdom
  • Experience as an associate, senior associate, counsel, partner, or comparable legal professional
  • Strong private equity, cross-border M&A, leveraged finance, fund formation, or international finance transaction experience
  • Background at a leading US or international law firm with UK presence, or comparable high-end transactional legal environment
  • Strong understanding of how international finance deals operate across PE, M&A, and debt financing workstreams
  • US bar qualification or US finance transaction experience as a strong plus
  • Excellent written communication skills and high attention to detail
  • Ability to work independently in a remote, project-based environment
  • Legal education, bar qualification, solicitor qualification, J.D., LL.B., LL.M., or equivalent professional legal training may be relevant depending on background and project scope
  • Professional experience in private equity, M&A, leveraged finance, fund formation, regulatory filings, or cross-border transactional practice is highly relevant
  • Experience at a leading law firm, in-house legal team, or sophisticated finance legal practice may be especially valuable

Nice To Haves

  • Experience with private equity deal structuring, leveraged buyouts, acquisition finance, debt financing, or sponsor-side transactions
  • Cross-border M&A experience involving US legal frameworks or US-style transaction documentation
  • Fund formation, regulatory filing, or investment management exposure
  • Experience reviewing complex transaction documents, legal memos, deal checklists, or negotiation materials
  • Availability for approximately 40 hours per week depending on project needs

Responsibilities

  • Create realistic legal scenarios involving private equity transactions, cross-border M&A, leveraged buyouts, fund formation, regulatory filings, and deal structuring
  • Develop scenario materials that reflect how sophisticated international finance transactions are structured and reviewed
  • Simulate realistic legal workflows involving partner-led teams across PE, M&A, and debt financing matters
  • Ensure legal scenarios are commercially realistic, technically accurate, and appropriate for structured evaluation
  • Review legal outputs involving transaction structure, finance terms, deal strategy, regulatory considerations, and cross-border execution issues
  • Assess whether legal reasoning aligns with established professional and commercial standards
  • Identify gaps in analysis, weak assumptions, incomplete issue spotting, or commercially impractical conclusions
  • Apply practitioner-level judgment to evaluate complex finance and transactional legal materials
  • Create and review high-quality legal evaluation materials
  • Apply structured rubrics and project-specific criteria to assess legal reasoning and response quality
  • Provide clear written feedback explaining legal strengths, weaknesses, and improvement areas
  • Maintain accuracy, consistency, and professional judgment across submitted legal review work
