Remote | Transactional Attorney — $90–$130/hour
About The Position
We are sharing a specialised part-time consulting opportunity for experienced Transactional Attorneys with strong expertise in technology transactions, contract negotiation, drafting, redlining, derivatives, and commercial legal review to contribute to an advanced legal AI training and contract-evaluation project. Selected professionals will review and assess transactional contract workflows, perform simulated negotiations and redlining exercises, evaluate AI-generated legal responses, and help establish rigorous standards for commercial contract analysis and legal judgement. The opportunity is particularly suited to seasoned in-house attorneys with substantial technology-transactions experience.
Requirements
- Minimum of 3 years of in-house legal experience focused on technology transactions
- Strong experience negotiating MSAs, NDAs, ISDAs, derivatives documentation, and related commercial agreements
- Demonstrated contract-drafting, negotiation, and redlining expertise
- Strong understanding of legal and commercial risk allocation
- Excellent written and verbal communication skills
- Meticulous attention to detail and strong analytical judgement
- Ability to translate legal expertise into structured evaluation feedback
- Comfortable working with cross-disciplinary teams in fast-paced environments
- Strong practical understanding of in-house transactional decision-making
Nice To Haves
- Experience at a corporate law firm in M&A or fund formation is advantageous
- Experience supporting private-equity-related transactional work is beneficial
- Prior exposure to AI, legal technology, or related training initiatives is advantageous but not required
Responsibilities
- Draft, review, and analyse agreements used in technology and commercial transactions
- Work with MSAs, NDAs, ISDAs, derivatives documentation, and related agreements
- Identify contractual risks, ambiguities, and drafting weaknesses
- Assess whether provisions accurately reflect intended commercial arrangements
- Apply professional transactional standards throughout contract-review workflows
- Perform simulated contract negotiations and redlining exercises
- Evaluate alternative drafting positions and negotiation approaches
- Identify legal, commercial, and risk-allocation implications of proposed changes
- Refine contractual language for clarity, precision, and enforceability
- Maintain consistency across iterative negotiation and redlining tasks
- Review AI-generated responses to transactional and contract scenarios
- Assess legal reasoning, drafting quality, and commercial judgement
- Identify inaccurate interpretations, weak redlines, or unsupported conclusions
- Evaluate whether proposed revisions appropriately address contractual risk
- Provide structured expert feedback supporting model improvement
- Develop objective evaluation frameworks for contract-related legal tasks
- Define criteria covering drafting quality, legal reasoning, negotiation judgement, and risk identification
- Establish consistent standards for evaluating AI-generated legal work
- Document why particular responses are strong, incomplete, or incorrect
- Support rigorous and repeatable contract-evaluation workflows
- Collaborate with product, research, and technical teams on contract-review initiatives
- Translate transactional expertise into clear and actionable feedback
- Help refine legal datasets, review guidelines, and evaluation standards
- Communicate complex technology-transaction and derivatives concepts across multidisciplinary teams
- Contribute to evolving best practices for AI-assisted legal analysis
