Remote | Corporate Transactions Attorney — $90–$130/hour
About The Position
We are sharing a specialised part-time consulting opportunity for experienced Corporate Transactions Attorneys with strong expertise in mergers and acquisitions, contract drafting, negotiation, redlining, and transactional legal analysis to contribute to an advanced legal AI training and contract-evaluation project. Selected professionals will review and assess transactional contract workflows, perform simulated negotiations and redlining exercises, evaluate AI-generated legal responses, and help establish rigorous standards for corporate-transaction analysis and drafting. The opportunity is particularly suited to attorneys with hands-on M&A experience in corporate law firms and familiarity with sophisticated acquisition agreements.
Requirements
- J.D. from an ABA-accredited law school
- Active bar admission in at least one U.S. jurisdiction
- Minimum of 2 years of experience in the M&A department of a corporate law firm
- Strong experience with mergers and acquisitions and corporate transactional work
- Familiarity with standard M&A agreements, including SPAs and APAs
- Strong contract-drafting, negotiation, and redlining skills
- Excellent written and verbal communication skills
- Meticulous attention to detail and strong analytical judgement
- Ability to translate legal expertise into structured evaluation feedback
- Comfortable working with cross-disciplinary teams in fast-paced environments
Nice To Haves
- Experience working with private equity firms is advantageous
- Prior exposure to AI, legal technology, or related training initiatives is beneficial but not required
Responsibilities
- Draft, review, and analyse agreements used in corporate and M&A transactions
- Work with standard acquisition documentation, including SPAs and APAs
- Identify contractual risks, inconsistencies, and drafting weaknesses
- Assess whether provisions accurately reflect intended transaction structures
- Apply professional transactional standards throughout contract-review workflows
- Perform simulated contract negotiations and redlining exercises
- Evaluate alternative drafting positions and negotiation approaches
- Identify legal, commercial, and risk-allocation implications of proposed changes
- Refine contractual language for clarity, precision, and enforceability
- Maintain consistency across iterative negotiation and redlining exercises
- Review AI-generated responses to corporate transaction and contract scenarios
- Assess legal reasoning, drafting quality, and transactional judgement
- Identify weak interpretations, inappropriate redlines, or unsupported conclusions
- Evaluate whether proposed revisions appropriately address transaction risk
- Provide structured expert feedback supporting model improvement
- Develop objective evaluation frameworks for transaction-related legal tasks
- Define criteria covering drafting quality, legal reasoning, negotiation judgement, and risk identification
- Establish consistent standards for evaluating AI-generated contract work
- Document why particular responses are strong, incomplete, or incorrect
- Support rigorous and repeatable model-evaluation workflows
- Collaborate with product, research, and technical teams on contract-review initiatives
- Translate corporate-transactions expertise into clear and actionable feedback
- Help refine legal datasets, review guidelines, and evaluation standards
- Communicate complex M&A concepts across multidisciplinary teams
- Contribute to evolving best practices for AI-assisted transactional legal analysis
