About The Position

Transaction Counsel CPACE The Transaction Counsel is an in-house legal opportunity to assist with the origination, closing and asset management components of C-PACE financing transactions from $10,000,000+. In addition, the Transaction Counsel may, from time to time, be asked to assist Nuveen Green Capital with capital market transactions and possible other lines of business outside of C-PACE financing transactions.

Requirements

3+ Years Required; 5+ Years Preferred
Doctoral Degree Law Required
3 + years of law firm or in-house legal experience representing commercial real estate lenders
Experience with Commercial Property Assessed Clean Energy (C-PACE) financing structures

Nice To Haves

5+ years of law firm or in-house legal experience representing commercial real estate lenders
Secondary market and securitization experience
Experience structuring and negotiating work-outs and drafting forbearance agreements

Responsibilities

Drafting commercial C-PACE financing and related agreements
Performing legal diligence on C-PACE transactions, including, as needed: review of capital stacks for new development transactions, review of environmental status and documents, review of borrower organization documents, title work, condominium documents, lease agreements, contractor installation agreements, etc.
Reviewing closing, conveyancing, loan, and corporate resolution documents in connection with transactions
Tracking transaction tasks, parties, and key dates, and communicating progress to team as issues and tasks are resolved.
Tracking and following up on post-closing matters
Coordinating recordation of C-PACE closing documents, amendments, and other documents to be recorded
Conducting basic legal and business research
Assisting with the research, development, and roll out of new lines of business
Supporting capital market transactions undertaken by the Company as needs dictate
