About The Position

This role is responsible for managing the full contract lifecycle for various business agreements, including vendor, client, and NDA agreements. The specialist will coordinate contract execution, prepare summaries and reports, and support contract negotiations. Additionally, the role involves improving contract lifecycle management processes, maintaining contract resources, and managing legal service requests. The position also provides support for corporate governance, including entity management, document preparation, and compliance with regulations. General legal support includes conducting research and assisting the legal team with various tasks.

Requirements

  • Bachelor's degree in business, legal studies, or a related field.
  • A minimum of XXX years of experience supporting or managing in-house commercial contract review and negotiation processes
  • Experience managing the full contract lifecycle, including intake, drafting, internal approvals, negotiation coordination, execution, renewal, amendment, termination, reporting, and repository management.
  • Ability to process highly confidential/sensitive data and maintain discretion.
  • High level of professionalism and commitment to the highest ethical standards.
  • Excellent verbal and written communication skills, with the ability to explain contract issues clearly, identify key risks, and support practical business decisions.
  • Must be detail-oriented, highly motivated and exceptionally organized.
  • Strong interpersonal skills and ability to work independently while building effective relationships with legal teammates, business stakeholders, vendors, consultants, and outside counsel.
  • Ability to manage multiple contract matters, competing deadlines, and changing business priorities with strong judgment and accountability.

Nice To Haves

  • Contract management certification or paralegal certificate preferred but not required.
  • Experience working with CLM platforms (such as Onit), entity management platforms (such as Diligent), electronic signature platforms (such as DocuSign), and CRMs preferred.
  • Familiarity with HIPAA compliance is a plus.

Responsibilities

  • Manage the full contract lifecycle for vendor, client, NDA, and other business agreements, including intake, preparation, initial review, negotiation coordination, approval, and execution.
  • Coordinate contract execution through DocuSign and ensure executed agreements are properly stored, coded, and routed to appropriate stakeholders.
  • Prepare contract summaries, status reports, obligation trackers, and key-term summaries for legal, business, finance, operations, and leadership stakeholders.
  • Support contract negotiations by reviewing proposed terms, identifying business and legal issues, escalating material risks, and recommending practical fallback positions consistent with approved playbooks and company policy.
  • Own and improve contract lifecycle management processes, including intake, triage, template use, workflow design, metadata standards, repository hygiene, reporting, and process documentation.
  • Maintain and enhance contract resources, including templates, playbooks, clause libraries, fallback positions, and related guidance materials.
  • Manage legal service requests, including intake review, prioritization, routing, stakeholder communications, and response tracking in accordance with established service expectations.
  • Assist with entity formations, dissolutions, internal restructurctions, and intercompany transactions, including preparation, review, filing, and tracking of related documents and approvals.
  • Prepare, organize, and maintain corporate governance materials, including resolutions, consents, bylaws, minutes, ownership records, and related stakeholder communications.
  • Maintain and organize corporate records, ensuring compliance with federal, state, and local regulations.
  • Support mergers, acquisitions, and other corporate transactions by preparing documents, supporting due diligence, and organizing transaction files.
  • Assist with all aspects of subsidiary governance, including administration of the company's legal entity management database and coordinating annual filings and other requirements with registered agents and outside counsel.
  • Respond to requests for information, including "know your customer" requests, due diligence, and internal stakeholder requests.
  • Conduct contract, policy, and market research as needed to support legal review, negotiation strategy, process improvement, and business decision-making.
  • Support legal team and contract administration and perform other duties as assigned.
